<br />DRAINAGE AND UTILITY EASEMENT

<br />THIS INDENTURE, made this _ day of , 1998, by and between RY Ai~
<br />COMPANIES US, INC., a Minnesota Corporation ("Ryan") and the CITY OF ROSEVILLE,
<br />Ramsey County, Minnesota, a municipal corporation ("City").
<br />
<br />WITNESSETH: That in consideration of the sum of One Dollar ($1.00) and other good and
<br />valuable consideration in hand paid by the City, Ryan does hereby grant and convey unto City, its
<br />successors and assigns, a perpetual non-exclusive easement for drainage and utility purposes under,
<br />over and across the following described property in Ramsey County, Minnesota:

<br />A 20 foot wide Drainage and Utility Easement over, under and across that part of
<br />Lots 1 and 2, Block 3, CENTRE POINTE BUSINESS PARK, according to the
<br />recorded plat thererof, Ramsey County, Minnesota, the centerline described as
<br />follows:

<br />Commencing at the northeast corner of said Lot 1; thence South 00 degrees 00
<br />minutes 00 seconds East, assumed bearing, along the east line of said Lot 1, a
<br />distance of 348.53 feet to the beginning of the centerline to be described; thence
<br />South 45 degrees 00 minutes 00 seconds West, a distance of 133.16 feet; thence
<br />North 45 degrees 25 minutes 48 seconds West, distance of 151.20 feet; thence South
<br />49 degrees 49 minutes 25 seconds West, a distance of 158.53 feet; thence North 89
<br />degrees 02 minutes 20 seconds West, a distance of 56.33 feet to the west line of said
<br />Lot 2 and said centerline there tenninating.

<br />The sidelines of said easement are to be prolonged or shortened to tenninate at said
<br />east line of Lot 1 and said west line of Lot 2.
<br />
<br />which easement shall include the perpetual rights of said City, its successors or assigns, to construct,
<br />maintain, operate and repair any drainage and utility lines under, over and across the strip of land
<br />hereinbefore described, together with a non-exclusive perpetual easement for ingress and egress over
<br />the above described property, all without additional compensation.

<br />City will indemnify, save, defend and hold Ryan, its successors and assigns, from any and all claims
<br />by any person for any personal injury or property damage, made as a result of the use of any
<br />drainage and utility lines or easement which is the subject of this Easement. This indemnification
<br />shall not include claims made due to the negligent acts of any Ryan employee, agent or servant.
<br />
<br />TO HAVE AND TO HOLD THE SAME, together with all the hereditaments and appurtenances
<br />thereunto belonging, or in anywise appertaining, to said City, its successors and assigns, forever.
