<br />, <br /> <br />-0( <br /> <br />EXHIBIT 1 <br /> <br />PROFESSIONAL SERVICE AGREEMENT <br /> <br />REGIONAL REMODELING PLAN BOOK <br /> <br />THIS AGREEMENT made and entered into by and between the Fridley Housing <br />and Redevelopment Authority in and for the City of Fridley, State of Minnesota, " <br />hereinafter referred to as the HRA and Robert Gerloff Residential Architects, Kristi <br />Johnson, and Peter Musty hereinafter referred to as Architects. <br /> <br />WITNESSETH: <br /> <br />WHEREAS, several cities have initiated a cooperative effortto produce a <br />remodeling plan book; and <br /> <br />WHEREAS, these Cities have requested the HRA to act as the contract holder <br />for professional services on behalf of the Cities; and <br /> <br />WHEREAS, the Cities have conducted a request for proposal to provide <br />professional services to produce the content of the plan book; and <br /> <br />WHEREAS, the Cities have mutually agreed to hire Architects: and <br /> <br />WHEREAS, the HRA agrees to purchase the services of Architects on behalf of <br />several Cities; and <br /> <br />WHEREAS, the Cities have agreed to provide the funds to these services. <br /> <br />NOW, THEREFORE, in consideration of the mutual undertakings and <br />agreements hereinafter set forth, the HRA and Architects agree as follows: <br /> <br />1. TERMS AND COST OF THE AGREEMENT <br /> <br />Architects agree to furnish services to the HRA as indicated on the attached <br />Exhibit A dated January 22, 1998. The total cost of this Agreement shall not <br />exceed $60,000. Work beyond the Scope of Services in Exhibit A shall be <br />approved in writing by the HRA. <br /> <br />2. OWNERSHIP OF MATERIALS <br /> <br />All reports, memos, and other data produced by Architects become the property <br />of the HRA with the following exceptions: Architects may use any material <br />produced for marketing or promotional purposes; Architects retain ownership of <br />the original watercolors with the HRA having full use of the images provided by <br />Architects through electronic scanning and photography. <br /> <br />1 <br /> <br />v" <br />
