<br />ARTICLE II <br />PROPERTY SUBJECT TO THIS DECLARATION <br />ADDITIONS THERETO <br /> <br />Section 1. Property. The real property which is and shall be held,. <br />transferred, sold, conveyed and occupied subject to this Declaration is more particularly <br />described as follows: <br /> <br />City of Roseville, County of Ramsey, State of Minnesota <br /> <br />Lots I through 11, Block 1, Woods Edge Townhomes <br /> <br />City of St. Anthony, County of Hennepin, State of Minnesota <br /> <br />Lots I through 3, Block I, Woods Edge Townhomes <br /> <br />ARTICLE III <br />MEMBERSHIP AND VOTING RIGHTS <br />IN THE ASSOCIATION <br /> <br />Section 1. Membership. Each Owner of a Lot which is subject to <br />assessment by the Association shall be a member of the Association. Membership shall be <br />appurtenant to and may not be separated from Ownership of such Lot, and shall be transferred <br />with the conveyance of the Owners interest in the Lot. <br /> <br />Section 2. Voting Rights. Each Owner shall have one vote for each Lot <br />owned. When more than one person owns any Lot, all such persons shall be members. If <br />more than one person owns a Lot, the vote for such Lot shall be exercised pursuant to a <br />written proxy signed by all persons owning an interest in said Lot assigning the vote for said <br />Lot to one person, which proxy shall be effective until it is revoked by a writing filed with <br />the Secretary of the Association. In no event shall more than one vote be cast with respect <br />to any Lot. <br /> <br />Section 3. <br />membership: <br /> <br />Classes. The Association shall have two classes of voting <br /> <br />Class A. Class A members shall be all Owners, with the exception of the <br />Declarant, and shall be entitled to one vote for each Lot owned. When more than one person <br />holds an interest in any Lot, all such persons shall be members. The vote for such Lot shall <br />be exercised as they determine, but in no event shall more than one vote be cast with respect <br />to any Lot. <br /> <br />Class B. The Class B member shall be the Declarant and shall be entitled <br />to three (3) votes for each Lot owned. The Class B membership shall cease and be converted <br />to Class A membership on the happening of either of the following events, whichever occurs <br />earlier: <br /> <br />(a) when the total votes outstanding in the Class A membership equal the <br />total votes outstanding in the Class B membership, or <br /> <br />(b) on December 31, 2001. <br /> <br />4 <br />
