<br />mortgage registration tax payable upon the purchase money mortgage <br />provided for hereunder. The cost of recording the purchase money <br />mortgage to be executed and delivered by Purchaser hereunder shall <br />be paid by Purchaser. <br /> <br />9. Real Estate Tax Proration. Seller shall pay all real <br />estate taxes and installments of special assessments payable <br />therewith payable in the year 1992 and prior years. Real estate <br />taxes, and installments of special assessments payable therewith, <br />payable in 1993 shall be pro rated between Seller and Purchaser as <br />of the date of closing. Real estate taxes payable in 1994 and <br />thereafter shall be paid by Purchaser. Levied assessments unpaid <br />at closing shall be paid one-half by Seller and one-half by <br />Purchaser. Purchaser shall pay any pending assessments which have <br />not been levied as of the date of closing. <br /> <br />10. Seller's Warranties. Seller covenants and makes the <br />following warranties to Purchaser: <br /> <br />a. <br /> <br />That Seller has had no notice of violations relating "to <br />the property from any city, county, state or other <br />governmental agency or authority. <br /> <br />b. <br /> <br />That the buildings and personal property will ,be <br />maintained up to the date of closing in substantially the <br />same or better condition as they are in on the date of <br />execution of this Purchase Agreement. <br /> <br />c,. <br /> <br />That no suit, action, arbitration or other proceeding or <br />investigation is pending or threatened against or <br />affecting Seller or the property. ' u,.._, <br /> <br />.. ----.-----.---.-------.-.-...----.,- <br /> <br />d. <br /> <br />That there are no unrecorded interests in or right to <br />possession of the property except as disclosed by this <br />Purchase Agreement. <br /> <br />e. <br /> <br />There are no wells on the property. <br /> <br />ENVIRONMENTAL DISCLAIMER <br /> <br />Seller makes no, warranty or representation of any nature <br />regarding the presence or absence of hazardous substance, pollutant <br />.or contaminant as defined in Minnesota Statutes Section 115B.02, <br />Subd. 8 and 13, being located anywhere in or on the subject <br />property, including any facility as defined in Minnesota Statutes <br />115B.02, Subd. 5, that is located in or on the subject property.:. <br /> <br />Purchaser shall have the right to obtain an environmental <br />assessment of the premises, including obtaining soil borings, the <br /> <br />4 <br />
