<br />results of which shall be obtained within 21 days from the date of <br />this Agreement. Purchaser's obligations under this Purchase <br />Agreement are contingent upon the findings and recommendations of <br />such assessment being acceptable to Purchaser. Unless written <br />objection setting forth the objectionable findings and <br />recommendations and a complete copy of the assessment, are <br />delivered to Seller's attorneys at 200 Rosedale Towers, Roseville, <br />MN by 5:00 o'clock P.M. the twenty-first day following the date <br />hereof, excluding the date hereof, this contingency will be deemed <br />waived and the Agreement enforceable according to its terms. All <br />costs associated with the assessment shall be paid by Purchaser. <br />Purchaser shall have access to the premises at all reasonable times <br />for purposes of completing this assessment and soil borings. <br /> <br />Purchaser acknowledges having full opportunity to inspect and <br />test the property to determine for itself the environmental <br />condition of the property and is not relying upon any statement or <br />representation made by Seller except as otherwise expressly set <br />forth herein and in Section 10 of this Agreement. Purchaser <br />acknowledges having the opportunity to review.reports and records <br />relative to the removal of certain petroleum tanks from the <br />premises and corrective action taken in connection therewith, all <br />of which is identified by the Minnesota Pollution Control Agency as <br />Si te ID # LEAK00002170. Seller represents that Seller has provided <br />Purchaser all notices and reports received by Seller with respect <br />to environmental conditions regarding the property. Based upon <br />Purchaser's review of such records, notices and records, and upon <br />Purchaser's investigation and testing of the property, Purchaser <br />agrees and acknowledges that Purchaser is purchasing the property <br />in its present condition, AS IS, without representation or warranty <br />of any kind regarding its environmental condition except as <br />expressly provided to the contrary in this Agreement, and Purchaser <br />agrees that it shall not assert any claim against Seller on account <br />of or arising out of the presence of hazardous substances in, on, <br />under, or about the property. Purchaser further agrees to <br />indemnify Seller against any loss, expense, claim or liability <br />asserted against , incurred or paid by Seller by reason of any <br />environmental contamination of the property caused by Purchaser. <br />In addition, Purchaser has reviewed certain materials in the <br />possession of the Minnesota Pollution Control Agency. <br /> <br />Seller's above said warranties and covenants shall survive the <br />closing of the transaction and execution and delivery of <br />instruments by the parties. <br /> <br />11. Examination of Title and Permitted Encumbrances. Seller <br />shall, as soon hereafter as reasonably possible, furnish an <br />Abstract of Title or Registered Property Abstract covering the <br />property, certified to date and including proper searches covering <br />bankruptcies and state and federal judgments and liens.
