<br />or terminated except in writing executed by Purchaser and Seller or <br />canceled pursuant to statute. <br /> <br />23. Construction. No provision of this Agreement shall be <br />construed by any court or other judicial authority against either <br />Seller or Purchaser by reason of any such party being deemed to <br />have drafted or structured such provision. <br /> <br />Headings contained in this Agreement are for convenience of <br />reference only and shall not be considered in the construction <br />hereof. <br /> <br />24. Form of Mortgage. Except as modified by the terms of <br />this Purchase Agreement, the purchase money mortgage to be executed <br />by Purchaser shall be in the form of Exhibit B attached. <br /> <br />25. Due on Sale. Purchaser shall not sel~, transfer, convey, <br />assign or in any way alienate Purchaser's interest in the property <br />without the express written consent of Seller, except that <br />Purchaser may transfer its interest in the property to an entity <br />which is owned or controlled by Purchaser. <br /> <br />26.iRight of Inspection. Prior to full ,performance of the <br />":purchase money mortgage, Seller or Seller 's designated <br />. '.:representatives shall 'have the right to enter upon the property for <br />the '.purpose of inspection ,dur'ing normal business hours upon <br />'reasonable notice to Purchaser and so as not to unreasonably <br />disturb ,or interfere with the rights of tenants. <br /> <br />27. Insurance. Purchaser shall maintain the following <br />insurance coverage in the following amounts during the term of the <br />mortgage: <br /> <br />a. Insuring the property against loss by fire or hazard for <br />at least the full insur~ble value of all improvements <br />located thereon. <br /> <br />28. Alteration and Improvement. Purchaser will not remove, <br />demolish or alter the design or structural character of any <br />. buildings now or hereafter erected upon all or any part of the, <br />property until such time as $100,000.00 of the purchase price has <br />been paid and will cause any improvements which may hereafter be <br />constructed upon the property to be completed promptly. <br /> <br />9 <br />
