or terminated except in writing executed by Purchaser and Seller or canceled pursuant to statute. 23. Construction. No provision of this Agreement shall be construed by any court or other judicial authority against either Seller or Purchaser by reason of any such party being deemed to have drafted or structured such provision. Headings contained in this Agreement are for convenience of reference only and shall not be considered in the construction hereof. 24. Form of Mortgage. Except as modified by the terms of this Purchase Agreement, the purchase money mortgage to be executed by Purchaser shall be in the form of Exhibit B attached. 25. Due on Sale. Purchaser shall not sel~, transfer, convey, assign or in any way alienate Purchaser's interest in the property without the express written consent of Seller, except that Purchaser may transfer its interest in the property to an entity which is owned or controlled by Purchaser. 26.iRight of Inspection. Prior to full ,performance of the ":purchase money mortgage, Seller or Seller 's designated . '.:representatives shall 'have the right to enter upon the property for the '.purpose of inspection ,dur'ing normal business hours upon 'reasonable notice to Purchaser and so as not to unreasonably disturb ,or interfere with the rights of tenants. 27. Insurance. Purchaser shall maintain the following insurance coverage in the following amounts during the term of the mortgage: a. Insuring the property against loss by fire or hazard for at least the full insur~ble value of all improvements located thereon. 28. Alteration and Improvement. Purchaser will not remove, demolish or alter the design or structural character of any . buildings now or hereafter erected upon all or any part of the, property until such time as $100,000.00 of the purchase price has been paid and will cause any improvements which may hereafter be constructed upon the property to be completed promptly. 9
