The fees for the Consultant services shall be paid as shown in <br />Attachment A within 30 days following receipt of a monthly invoice for services performed and <br />as approved by the Community Development Director not to exceed $37,000.00 for <br />HousingResource Center services and $5,000 for First Time Homebuyer Training in accordance <br />with the Roseville Housing Improvement Plan Budget for 2000. <br /> <br />IV. Indemnification. The parties shall indemnify and hold harmless each other and their <br />officials, agents, and employees from any loss, claim, liability, and expense (including <br />reasonable attorney's fees and expenses of litigation) arising out of any action of the respective <br />parties in the performance of the service of this contract. <br /> <br />V. Assignment. This agreement shall not be assigned, sublet, or transferred without the <br />written consent of the City. <br /> <br />VI. Conflict of Interest. The Consultant agrees to immediately alert the City Community <br />Development Director of possible contractual conflicts of interest in representing the City, as <br />well as property owners or developers on the same project.
