ARTICLES OF INCORPORATION OF FAMILY ACADEMY CHARTER SCHOOL, A NONPROfIT CORPORATION I, the undersigned, being of full age, forihe purpose of organizing a nonprofit corporation under Minnesota Statutes, Chapter 317 A, and acts amendatory thereto, do hereby adopt, sign, and acknowledge the following Articles of Incorporation. ARTICLE I. Name The name of this Corporation shall be FAMILY ACADEMY CHARTER SCHOOL [hereinafter "Corporation"]. ARTICLE n. Pur:pose The Corporation is organized exclusively for educational purposes within the meaning of section 501(c)(3) of the Internal Revenue Code. ARTICLE m. Powers . The CQrporation shall possess all powers provided OJ!' not prohibited by law or by the Statutes of Minnesota. ARTICLE IV Registered Office The location and post office address of this Corporation's registered office in the State of Minnesota shall be 2300 Hamline Avenue North, Roseville, MN 55113. ARTICLE V. First Directors The names and post office addresses of the first directors of the Corporation are as follows: Anne J. Hennessey 2300 Hamline Avenue North, Roseville, MN 55113 Carol L. Koski 2300 Hamline Avenue North, Roseville, MN 55113~ The first directors shall seK'Ve until such time as their successors, if any, have been duly elected and qualified, but the first renn of the first directors shall note extend beyond one (1) year from the date of incorporation. Except for the first tenn of the first directors, the number, qualification, terms of office, manner of election, powers' and duties of the directors shall be specified by the By-Law.s of the Corporation or by law. Except as otherw2se specifically provided by the By-Laws or by law, all powers of the Corporation shall be exercised by its directors. ' ARTICLE V1I.
