<br />ARTICLE VIT. <br />By-Laws <br /> <br />The Board of Directors of the ,Corporation may adopt such By-Laws as are suitable for the <br />proper regulation of the Corporation"'s affairs, and such By-Laws shall be of full force and effect <br />unless and until changed or repealed by a majority vote of the board members present and <br />represented at any annual meeting or at any special meeting called for such purpose, or unless and <br />until amended by the Board of Directors of the Corporation by such procedure as they may provide <br />in the By-Laws of the Corporation. <br /> <br />ARTICLE VITI. <br />Powers of Maiority <br /> <br />In addition to the other powers of the majority of the board members, the affIrmative vote of <br />a majority of all board members shall be sufficient to authorize (1) an amendment to or the restating <br />of the Articles of Incorporation of the Corporation; or (2) the sale, lease, exchange, or other <br />disposition of all, or substantially all, of the property and assets of the Corporation, including :ts <br />goodwill; or (3) the adoption of an agreement of consolidation or merger. <br /> <br />ARTICLE IX. <br />Inurement of Income <br /> <br />No part of the net earnings of the corporation shall inure to the benefIt of, or be distributable <br />to, its members, trustees, officers, or other private persops, except that the Corporation shall be <br />authorized and empowered to pay reasonable compensation for services rendered. <br /> <br />ARTICLE X. <br />Legislative or Political Activities <br /> <br />No substantial part of the activities of the Corporation shall be the carrying on of <br />propaganda or otherwise attempting to influence legislation, and the Corporation shall not <br />participate in or intervene in (including the publishing or distribution of statements) any political <br />campaign on behalf of any candidate for public office. <br /> <br />ARTICLE Xl <br />Qperational Limitations <br /> <br />Notwithstanding any other provisions of these articles, the Corporation shall not carry 0::1 <br />any other activities not permitted to be carried on (1) by a corporation exempt from Federal Income <br />Tax under section 501(c)(3) of the Internal Revenue Code of 1986, as amended (or the <br />corresponding provision of any future United States Jlnternal Revenue Law), or (2) by a corporation, <br />contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code of <br />1986, as amended (or to the corresponding provision of any future United States Internal Rever.ue <br />Law). ~ <br /> <br />IN WITNESS WHEREOF, I have hereunto set my han . _ day , 2000. <br /> <br /> <br /> <br />th B.
