Attachment A <br />MEMORANDUM OF UNDERSTANDING <br />BETWEEN <br />CITY OF ROSEVILLE, MINNESOTA <br />AND SA ROSEVILLE ACQUISITION LLC <br />This MEMORANDUM OF UNDERSTANDING is hereby made and entered into by and <br />between the City of Roseville (“the City”), and SA Roseville Acquisition LLC, a Minnesota <br />limited liability company (“SA Roseville”). <br />A.PURPOSE <br />1.The purpose of this MOU is to articulate the responsibilities of the City and SA Roseville in <br />regards to the implementation of a grant awarded to the City by the Metropolitan Council <br />through the Livable Communities Program for the Twin Lakes Apartments project. Nothing <br />in this agreement shall be construed as altering the terms and conditions of the grant. <br />B.THE CITY OF ROSEVILLE SHALL: <br />1.Pass through grant funding awarded to the City from the Metropolitan Council’s Livable <br />Communities Tax Base Revitalization Account (TBRA) in an amount up to $43,300.00 to <br />SA Roseville pursuant to the terms of the grant, a copy of which is attached hereto as Exhibit <br />A. The exact amount of grant funding passed through to SA Roseville will equal only actual <br />costs and expenses incurred by SA Roseville and approved by the Metropolitan Council. The <br />parties expressly agree that SA Roseville has no claim of right to any other amounts and that <br />the City of Roseville may use any excess grant funds for its own grant-approved uses. <br />C.SA ROSEVILLE SHALL: <br />1.Undertake the scope of work identified in the TBRA Grant Agreement (Exhibit A). <br />2.Be responsible to provide required project matching funds for the TBRA grant. <br />3.Comply with all applicable state and federal laws and the agreement entered into by the City <br />and the Metropolitan Council specific to the TBRA grant. <br />4.Require contractors and subcontractors performing work covered by the TBRA grant to <br />obtain all required permits, licenses and certifications, and comply with all state and federal <br />Occupational Safety and Health Act regulations, especially the federal Hazardous Waste <br />Operations and Emergency Response standards under Code of Federal Regulations, title 29, <br />sections 1910.120 and 1926.65. <br />5.Prepare payment request forms and provide all back up documentation as required by the <br />Metropolitan Council for submittal by the City. <br />6.Prepare required TBRA grant annual report, final report, and certificate of expenditures, <br />pursuant to Metropolitan Council requirements for submittal by the City. <br />7.Prepare required asbestos and lead abatement final reports as identified in Exhibit A and <br />provide a copy of these reports to the City. <br />1 <br />
