<br />TRANSIT SHELTER AGREEMENT <br />Outdoor Promotions, Inc. <br />( For internal city use only I <br /> <br />This Transit Sh.elter Agreement (the "Agreernent") is made and entered into this <br />dav of , 2001 bv and betvveen the CITY of <br />- .I ------- rl ------.-.-~.,,-~~. <br />a Minnesota municipal corporation (the "City"), and OUTDC)OR PI\OrvICHIONS, lnc , 'I <br />Colorado Corporation ("Outdoor Promotions"). <br /> <br />WITNESSETI-T: <br /> <br />WI-IEREAS, the Citv desires to imF->lement a nreWTam (the "Transit Shelter Pro~.rrarn") <br />.I . t t"J Ii <br />pursuant to which illuminated transit shelters will be installed and maintained in <br />compliance with this Agreement at certain bus stop sites to be identified from time tel <br />tinl(' by the City, Transit AutheHity and Outdoor Promotions; and <br /> <br />WHEREAS, Outdoor Promotions is in the business elf installing and maintain.in).', <br />illuminated transit shelters and it has submittecl its proposal to the City tCl provide its <br />services with respect to the Transit Shelter Program; and <br /> <br />WHEREAS, the City desires to engage the services of Outdoor Promotions with resl'cct <br />to the Transit Shl'lter Program upon the terms, covenants and conditicHls hereinafter St.'t <br />forth. <br /> <br />NOW, THEREFORE, for and in consider<ltion of the above premises and the terms, <br />covenants and conditions set forth herein, the City and Outdo()r Promotions hCH'b\' <br />agree as follows: <br /> <br />ARTICLE I: AUTHORIZATION <br /> <br />The City hereby authorizes Outdoor Promotions to make reasonable and la\vful use nf <br />the City rights-of-way at its sole cost and expense to install, rep<lir and maintain ,1 <br />minimum of (_) transit shelters at active bus stop sites to be identifiecl <br />from time to time by the City pursuant to this Agreement. <br /> <br />ARTICLE II: SCOPE OF WORK AND SERVICES PROVIDED <br /> <br />1. Basic Services. Outdoor Promotions shall furnish, install, repair and m.,lint,lin <br />safe, clean and attractive illuminated transit shelters with revenue generating <br />advertisements in compliance '.>vith this Agreement. In connection therewith, Outdoor <br />Promotions shall provide all materials, supplies, equipment, services and personnel (It <br />its sole cost and expense without any cost or expense to the City. All transi t shelter", <br />shall: (i) be installed within one hundred eighty (180) days of the City's issuallce of the <br />applicable permits and licenses, (ii) be erected in ordt'r of panel advertisement sales, (iii) <br />contain lighting to illuminate the inner area of each shelter from dusk to dawn; ,md <br />
