<br />Eminent Domain: <br /> <br />Relocation of Tenants: <br /> <br />Environmental Costs: <br /> <br />If necessary to complete the City and County public purpose plans <br />for the area, the City will consider the use of eminent domain of <br />private property other than any of the Redevelopers parcels, <br />including the use of quick take, if the Redevelopers are unable to <br />purchase the private property through market negotiations <br />provided: <br /> <br />a. <br /> <br />The required public purpose findings can be found to support such <br />action. <br /> <br />b. <br /> <br />To institute condemnation proceedings, the Redevelopers will <br />provide 20% of the City's estimate of the total acquisition costs for <br />the parcel, which shall include attorney's fees and all other <br />professional fees and services. The City will seek the advice of the <br />Redevelopers for the attorney it engages to pursue eminent domain <br />proceedings. <br /> <br />c. <br /> <br />At the time a court deposit is required, the Redevelopers will <br />advance an amount equal to 130% of the estimated total <br />acquisition costs, less the Redevelopers initial deposit. Transfer of <br />the parcel to each of the Redevelopers will be scheduled promptly <br />after acquisition of the parcel(s). At the closing, the Redevelopers <br />either shall pay the condemnation costs, if any, incurred beyond <br />the sums previously deposited by the Redevelopers or shall receive <br />a refund if the final total acquisition costs are less than the <br />Redevelopers' deposits. The Redevelopers' monetary obligations <br />hereunder shall be apportioned on the basis of land area each owns <br />within the Development Properties. <br /> <br />d. Interest on any deposit will accrue to the benefit of the <br />Redevelopers pro-rata on the basis of land owned within the <br />Development Properties. <br /> <br />The City shall reimburse for the relocation services and benefits <br />for all tenants of the Redevelopment Properties in accordance with <br />the requirements of Minnesota Statutes. Each Redeveloper will <br />reimburse the City for all reasonable costs and expenses related <br />thereto for tenant relocation relating to the Redevelopment <br />Properties. Each Redeveloper may, in lieu of reimbursement for <br />such services and benefits for a tenant, provide a written waiver by <br />that tenant. Such waiver must be in a form acceptable to the City. <br />Each Redeveloper shall indemnify the City for any relocation <br />liabilities arising under applicable law with respect to any portion <br />of such Redevelopment's Property. <br /> <br />Each Redeveloper shall be responsible to pay for all environmental <br />remediation and site preparation, required to comply with MPCA <br />standards as to their respective parcels.
