16. Entire Agreement. This Agreement constitutes the entire Agreement between the parties, <br />and no modification thereof will be effective unless made by supplemental agreement in <br />writing and executed by the parties. <br />17. Governing Law. This Agreement shall be interpreted and construed in accordance with <br />the laws of the State of Minnesota. <br />18. Schedules. The following Schedule(s) is/are a part of this Agreement: <br /> Schedule A - Managers Duties. <br /> Schedule B1- Management Fees <br /> Schedule B2 – Annual Management Fees <br /> Schedule B3 – Monthly Management Fees <br /> Schedule C—Purchasing Agent Agreement <br />19. Audit. Owner reserves the right for Owner's employees, or others appointed by Owner, <br />to conduct examinations, with reasonable advance notice, of the books and records <br />maintained for Owner by Manager no matter where books and records are located. Any <br />and all such audits conducted either by Owner's employees or appointees will be at the <br />sole expense of the Owner. <br />20. Final Accounting. Upon termination of this Agreement for any reason, Manager shall <br />deliver to Owner the following with respect to the Premises: <br />a. A final accounting of Manager’s services for the Premises as of the date of <br />termination, which final accounting shall be delivered within sixty (60) days after <br />such termination. <br />b. Any balance or monies of Owner or tenant security deposits, or both, held by <br />Manager with respect to the Premises, which shall be delivered within a <br />reasonable period of time upon such termination. <br />c. Upon request from Owner, a copy of all records, contracts, receipts for deposits, <br />unpaid bills and other papers or documents which pertain to the Premises, which <br />shall be delivered within a reasonable period of time after Manager’s receipt of <br />such request. Upon such termination, Manager shall have no further obligations <br />hereunder, except as set forth in this Section 20, and Owner will assume all <br />responsibilities of Manager hereunder, including, without limitation, payment of <br />all unpaid bills. <br />d. Notwithstanding the foregoing, Manager agrees to comply with the minimum <br />audit requirements mandated by Minnesota Statutes section 16C.05, subd. 5. <br />Owner and Manager have executed and delivered this Agreement as of the Effective Date. <br /> <br />
