Manager’s costs and expenses relating to any repairs or improvements to the Premises performed in accordance with this Agreement. 11. Fidelity Bond. Manager's employees who handle Owner's funds shall be covered by a fidelity bond to the extent required by applicable law in form and amount reasonably approved by Owner. 12. Purchasing Agent. The parties agree to execute the letter attached as Schedule C, which is hereby made a part of this Agreement. 13. Assignment. This Agreement or any rights hereunder shall not be assigned by Manager without Owner's prior written consent. If Manager seeks Owner's consent for assignment, Owner shall have the option to either consent or to immediately terminate this Agreement with immediate effect. This shall not, however, limit the right granted to Manager to employ contractors, subcontractors, employees, and agents to perform the services described in the Agreement. Upon prior written notice to Manager, Owner may assign its rights and obligations to any successor in title to the Premises, and upon such assignment, shall be relieved of all liability hereunder accruing after the effective date of such assignment. 14. Notice. Successors and Assigns. This Agreement shall be binding upon the successors and assigns of the undersigned, subject to the restrictions and conditions set forth in this Agreement.
