Attachment A <br />"Tax Increment Plans" or "TIF Plans" means the Tax Increment Financing Plans for the <br />TIF Districts, as amended by the City Council from time to time. <br />"Tax Official" means any County assessor, County auditor, County or State board of <br />equalization, the commissioner of revenue of the State, or any State or federal district court, the tax <br />court of the State, or the State Supreme Court. <br />"Termination Date" means the earlier of the date of termination of this Agreement pursuant <br />to an uncured Event of Default under Article IX hereof, or the date of final reimbursement under <br />the Escrow Agreement. <br />"TIF Districts" mean the City's TIF Districts No. 10 and 12, from which Pooled TaX <br />Increment will be used to finance the Public Redevelopment Costs. <br />"Transfer" has the meaning set forth in Section 8.2(a) hereof. <br />"Unavoidable Delays" means delays beyond the reasonable control of the party seeking to <br />be excused as a result thereof which are the result of strikes, lockouts or other labor troubles, <br />prolonged adverse weather or acts of God, fire or other casualty to the Minimum Improvements, <br />acts of terrarism, litigation commenced by third parties which, by injunction or other similar <br />judicial action, directly results in delays, or acts of any federal, state or local governmental unit <br />(other than the City in eXercising its rights under this Agreement), including without limitation <br />condemnation or threat of condemnation of any portion of the Redevelopment Property, and other <br />similar events, beyond the reasonable control of the party seeking to be excused. Unavoidable <br />Delays shall include delays experienced by the Redeveloper in obtaining permits or governmental <br />approvals necessary to enable construction of the Minimum Improvements by the dates such <br />construction is required under Section 4.3 of this Agreement, so long as the Construction Plans <br />have been approved in accardance with Section 4.2 hereof and the permits and approvals have <br />been applied for in a timely fashion. <br />"Unit" means an individual lot or house in the Project. <br />(The remainder of this page is intentionally left blank.) <br />4 <br />7174856v3 <br />
