Any party may change its address for the service of notice by giving written notice of such change to the other party, in any manner above specified, 10 days prior to the effective date of such change. 7. Amendment. This Agreement may not be amended, altered, or changed in any way without the mutual written consent of both parties. 8. Assi n� This Agreement shall not be assigned or transferred by either party. 9. Severability. If any clause or provision of this Agreement shall be deemed unlawful, unenforceable, or null and void by any court of competent jurisdiction, such clause or provision shall be struck from this Agreement and the remaining clauses and provisions shall remain in full force and effect. 10. Waiver. Any failure by either party to enforce any alleged breach of this Agreement by the other party shall not constituted a waiver of enforcement for any other breach of the same or other provisions of this Agreement. 11. Governin,� law; Venue. This Agreement shall be enforced and interpreted in accordance with the laws of the State of Minnesota. Any dispute regarding the enforceability or interpretation of this Agreement shall be venued in a court of competent jurisdiction in Ramsey County, Minnesota. 12. Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which, taken together, shall be deemed one and the same mstrument. 3
