Attachment B- Part 1 <br />3. Term. This Agreement is effective upon approval of the Board of Directors of the HRA <br />and the Roseville City Council, whichever occurs last, and shall continue unti] terminated <br />by one or both of the parties as provided in paragraph 5 of this Agreement. <br />4. Termination. This Agreement may be terminated by either party at any time, with or <br />without cause, by giving the other party written notice of such tennination at ]east 30 <br />days prior to the date of such termination, which shall be stated in the notice. In the event <br />of unilateral termination by the HRA, the HRA shall be responsible for remittance of any <br />Total Fee installment payments incurred prior to the date of actual termination of this <br />Agreement. In the event of unilateral termination by the City, the HRA shall be <br />responsible for remittance of any Total Fee installment payments incurred prior to the <br />City's written notice of termination. In the event of the parties' mutual agreement to <br />terminate this Agreement, the parties' shall agree upon the extent of Total Fee remittance <br />prior to the date of actual termination of this Agreement. <br />5. Emplo_yment Status and Control of Work. The parties expressly agree that the City <br />provides, at its own expense, all personnel, materials, supplies and equipment required to <br />fulfill the services contemplated by this Agreement. Any personne] assigned by the City <br />to perform work under this Agreement shall remain the exclusive employee of the City <br />for all purposes, including but not limited to wages, salary, benefits and workers' <br />compensation. Such City personnel shall not be entitled to any compensation, rights or <br />benefits of any kind from the HRA including, workers' compensation benefits, <br />unemployment compensation, disability, severance pay, or retirement benefits. The City <br />further retains all exclusive rights and control over the hiring, firing, promotion, <br />demotion, or any other employment action regarding said personneL The HRA expressly <br />disavows any authority to hire, fire, promote, demote, or take any other employment <br />action for or against personnel provided by the City pursuant to this Agreement. <br />6. Notices. Any notice to be given by either party upon the other under this Agreement <br />shall be properly given: a) if delivered personally to the City Manager if such notice is to <br />be given to the City, or if delivered personally to the Executive Director if such notice is <br />to be given to the HRA, or b) if mailed to the other party by United States registered or <br />certified mail, return receipt requested, postage prepaid, addressed in the manner set forth <br />below: <br />If to City: City of Roseville <br />Attn: City Manager <br />2660 Civic Center Drive <br />Roseville, MN 55113 <br />2 <br />
