PRE-HOSPITAL MEDICAL DIRECTION SERVICES AGREEMENT <br />BETWEEN <br />REGIONS HOSPITAL <br />AND <br />THE CITY OF ROSEVILLE <br />This pre-hospital medical direction services agreement ("Agreement"), effective on January 1, <br />2016 ("Effective Date"), is between Regions Hospital ("Regions"), a Minnesota nonprofit <br />corporation, through its Emergency Medical Services Department, and the City of Roseville (the <br />"City"), through the City of Roseville Fire Department (the "City Fire Department"). <br />RECITALS <br />WHEREAS, the City operates a fire department which provides Emergency Medical Technician <br />level first responder services within the City; and <br />WHEREAS, Regions operates an acute-care hospital in St. Paul, Minnesota, and provides <br />emergency medical direction, emergency medical education and other associated services to <br />municipal and private rescue-emergency medical service providers, through Regions' <br />Emergency Medical Services Program ("Regions EMS Program"); and <br />WHEREAS, the City maintains and operates a first responder program and desires the <br />assistance of the Regions EMS Program in the provision of such services; and <br />WHEREAS, Regions, through the Regions EMS Program, desires to provide the City the <br />assistance and training specified in this Agreement. <br />NOW THEREFORE, in consideration of the mutual covenants contained herein and for other <br />valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties <br />set forth above, intending to be legally bound, agree as follows: <br />ARTICLE 1 <br />Duties of the Parties <br />1.1 Duties of Re ig'ons. <br />a. Services. Regions, through the Regions EMS Program, shall provide the City Fire <br />Department the services specified in Schedule 1.1, which is attached hereto and <br />incorparated herein by this reference. <br />b. Medical Director. Regions shall designate a lead pre-hospital medical director <br />(the "Medical Director") and assistant pre-hospital medical directors ("Assistant <br />Medical Directors") for the City. (The Medical Director and Assistant Medical <br />Directors are hereinafter collectively referred to as the "Medical Directors"). <br />The names, duties and obligations of the Medical Director are specified in <br />Schedule 11 (the "Medical Direction Services").
