Medical Direction Services specified in this Agreement. Each of the Medical <br />Directors shall (a) be currently licensed as a physician in the state of Minnesota <br />(b) be a board certified emergency medicine physician, (c) have experience in, <br />and knowledge of, emergency care of acutely ill or traumatized patients, and (d) <br />be familiar with the design and operation of local, regional and state emergency <br />medical seroices systems. <br />c. EMS Clinical Supervisor. Regions shall designate one of its employees to serve as <br />an EMS Clinical Supervisor ("EMS CS") to the City. The EMS CS shall be <br />responsible to assist the Medical Director with the duties and responsibilities <br />specified in Schedule 1.1. <br />1.2 Duties of the Citv. To assist the Regions EMS Program in the discharge of its d�uties <br />hereunder, the City shall be responsible for performing the duties set forth in Schedule <br />1.2, which is attached hereto and incorporated herein by this reference. <br />1.3 Joint Duties. In addition to the duties specified in Sections 1.1 and 1.2 above, Regions <br />EMS Program and the City shall perform the following: <br />1.3.1 The parties shall meet at least annually to engage in medical oversight and vision <br />planning; <br />1.3.2 The parties shall collaborate on EMS system guideline development and research <br />specific to the emergency medical services provided by City; and <br />1.3.3 The parties shall schedule and attend regular meetings with the City's leadership <br />as mutually agreed upon. <br />ARTICLE 2 <br />Term and Termination <br />2.1 Term. This Agreement shall commence on the Effective Date and shall remain in effect <br />for three (3) years ("Initial Term"). Thereafter, this Agreement shall automatically <br />renew for successive one-year terms (each a"Renewal Term") unless terminated as <br />provided herein. For purposes of this Agreement the term "Contract Year" shall mean <br />each twelve (12) month period beginning on the Effective Date. <br />2.2 Termination. Subject to the continuing obligations of the parties as set forth in Articles 1, <br />4,Sand7: <br />2.2.1 Termination Without Cause. Either party may terminate this Agreement at any <br />time without cause by providing the other party written notice of termination at <br />least sixty (60) days prior to the date of termination. Any termination of this <br />Agreement pursuant to this Section shall be effective only at the end of the then <br />current Contract Year. Further, no termination pursuant to this Section may be <br />effective prior to the end of the first Contract Year of this Agreement. <br />1032762-6 <br />2 <br />
