c. Relocation and/or replacement of two traffic signal poles <br />(northwest corner and southeast corner). <br />3. The estimated cost of the Public Improvements as initially <br />anticipated and based on preliminary analysis by the City and the <br />Developer is approximately $400,000. <br />E. In order for Rosedale Center to receive the benefits of the Public <br />Improvements for Rosedale Center, ensure the timely and efficient <br />construction of the Public Improvements, promote an increase in visitors to <br />Rosedale Center, and minimize disruption to Rosedale Center, the <br />DEVELOPER agreed to a special assessment to pay for the Public <br />Improvements as provided herein. <br />F. On November 16, 2015, the CITY approved the PUD Amendment and the <br />Planned Unit Development Agreement #15-019 (the "PUD Agreement"), in <br />which the DEVELOPER agreed to dedicate the property necessary for the <br />Public Improvements, as depicted in Exhibit B. <br />2. Construction of the Public Improvements. The CITY shall install or cause to be <br />installed and pay for the Public Improvements. The Public Improvements shall be <br />installed in accordance with CITY standards, ordinances and plans and specifications <br />which have been prepared by a competent registered professional engineer mutually <br />agreed to by the CITY and The Developer and approved by Ramsey County and <br />MNDOT. The CITY shall construct erosion control measures in accordance with City <br />and Rice Creek Watershed District requirements including Ramsey County Soil and <br />Water Conservation District Best Management Practices. The City shall clean up <br />hazardous materials as necessary according to acceptable Minnesota Pollution Control <br />Agency standards. <br />3. Developer's Review. The CITY shall provide all plans and contracts related to the Public <br />Improvements to the DEVELOPER for review, pricing, and comment at least ten <br />business days prior to being finalized by the CITY. The CITY shall incorporate the <br />DEVELOPER's reasonable comments received no more than seven business days after <br />the plans or contracts are provided to the DEVELOPER The CITY shall also provide <br />the final pricing to the DEVELOPER for their review and approval prior to awarding the <br />contract. Should the cost of the improvements eXceed the originally anticipated $400,000 <br />estimate plus 10°/o, the City will use its best efforts to worlc with MNDOT and Ramsey <br />County to secure funding to offset the difference or to value engineer the design to reduce <br />the assessed amount to as close to the originally anticipated amount as possible. <br />Pursuant to City Procedures, this item will be presented to the City Council at the time of <br />advertisement for bid and at the time of contract award. The DEVELOPER reserves the <br />right to appeal to the City Council at either of these points to seek funding assistance <br />from the CITY if the cost of the public improvements exceed $400,000 plus 10%. The <br />CITY will notify the DEVELOPER at least one week in advance of this item appearing <br />Page 2 of 9 <br />
