In order to give direction to City staff on <br />the actions that will be required to enable the EDA to conduct business, I have prepared a <br />suggested transcript of the organizational meeting, which is attached to this memo. <br />Following is a short explanation of the purpose ofseveral of the required steps outlined in <br />the transcript. <br />1.Election/appointment of President and Secretary pro tem. <br />As you know, the City’s resolution enabling the creation of the EDA, adopted on <br />November 30, 2015, provides that the City Council members shall serve as the EDA’s <br />board of commissioners. Since the EDA is a newly-created political subdivision, the <br />commissioners mustelect temporary leadershipfor the purposeof presiding overthe <br />meeting until the definitive officers can be electedpursuant to the EDA’s by-laws.The <br />by-laws should not be adopted until the EDA’s legal existence and authority to act have <br />been memorialized on the record, so a president pro tem is necessaryin the interim. <br />2.Records: filing. <br />This is an administrative actionintended to evidence the fact that the Council has taken <br />the steps required by state law to establish the EDA, and that the EDA is thus duly <br />authorized to conduct business.This action should be taken prior to the adoption of EDA <br />by-laws to demonstrate that the EDA has the authority to set and approve such by-laws. <br />472785v1 MNI RS275-10 <br />1 <br /> <br />
