Attachm ent B License Agreement Number Execution Date: Jurisdiction (State): Minnesota Utility: SOLAR POWER FACILITY SITE LICENSE AGREEMENT This Solar Power Facility Site License Agreement (the "License') is made and entered into as of the Execution Date set forth above (the "Execution Date"), between, The City of Roseville, A MN Municipal corporation ("Licensor"), and SSA Solar of MN, LLC, a Minnesota limited liability company ("Licensee'). BACKGROUND Licensor and Licensee are parties to that certain Master Solar Services Agreement (Solar Services Agreement) dated the Execution Date (as it may be amended from time to time, the "Solar Services Agreement'), pursuant to which Licensee shall install one or more Solar Power Facilities (as defined below) at the Site (as defined below). Pursuant to the Solar Services Agreement, Licensor desires to purchase from Licensee and Licensee desires to sell to Licensor the entire energy output of each Solar Power Facility. In furtherance of the purposes set forth in the Solar Services Agreement, Licensor and Licensee are entering into this License to provide for the license of a portion of the Site to Licensee for purposes of Licensee installing, maintaining and operating one or more Solar Power Facilities at the Site. OPERATIVE TERMS In consideration of the mutual covenants and agreements set forth in this License and the Solar Services Agreement and intending to be legally bound hereby, Licensor and Licensee agree as follows: ARTICLE 1 Any terms capitalized but not defined in this License shall have the meanings ascribed to such terms in the Solar Services Agreement. For the purposes of this License, the following terms shall have the following meanings: A. "Affiliate" means, when used in reference to a specified Person, any Person that directly or indirectly, through one or more intermediaries, controls, is controlled by, or is under common control with the specified Person. B. "Attorneys' Fees" means reasonable attorneys' and court fees and costs incurred by a party, including attorneys' and court fees and cost for trial and appellate proceedings. C. `License Fee" has the meaning set forth in Article 3. D. "Casualty" has the meaning set forth in Article 9. E. "Execution Date" has the meaning set forth in the introductory paragraph of this License. F.
