sabotage, riots or civil disturbances, strikes or similar labor difficulties, (iii) volcanic eruptions, <br />earthquake, hurricane, flood, ice storms, explosion, fire, lightning, landslide, sink hole or similar <br />occurrence, (iv) war or acts of terrorism affecting the Site, (v) change of law imposing material regulatory <br />burden or prohibition upon either Party, (vi) adverse weather conditions not reasonably anticipated and in <br />excess of normal patterns for the local geographical area, (vii), requirement by Federal or State statute or <br />regulation that a Solar Power Facility discontinue operation for any reason, (viii) appropriation or <br />diversion of electricity by sale or order of any governmental authority having jurisdiction thereof, (xi) any <br />other action by any governmental authority which prevents or prohibits the Parties from carrying out their <br />respective obligations under this License; provided, however, "Force Majeure" shall not include <br />economic hardship or inability to obtain financing by either Party. "Force Majeure" shall include federal <br />or state regulations or orders that require Licensor to discontinue operation of the Solar Power Facility <br />located on the Premises. <br />G. "Indemnified Party" has the meaning set forth in Article 8.1. <br />H. "Indemnifying Party" has the meaning set forth in Article 8.1. <br />L `haws" means all laws, ordinances, and regulations applicable to the Site, the Premises, <br />or any Solar Power Facility now or hereafter enacted by any Federal, state, or local governmental or <br />quasi -governmental body. <br />"Lender" has the meaning set forth in Article 11.1. <br />K. "Parties" means Licensor and Licensee. <br />L. "Party" means Licensor or Licensee. <br />M. 'Verson" means any individual, corporation, partnership, joint venture, association, joint <br />stock company, trust, trustee, estate, limited liability company, unincorporated organization, real estate <br />investment trust, government or any agency or political subdivision thereof, or any other form of entity. <br />N. `Premises" has the meaning set forth in Article 2.1. <br />O. "Security Instrument' has the meaning set forth in Article 13.1. <br />P "Site" has the meaning set forth in Article 2.1. <br />Q "Solar Power Facilities" or "Solar Power Facility" means collectively or individually <br />one or more electricity grid -connected photovoltaic, solar power plants and other equipment and facilities <br />to be constructed, installed and maintained by Licensee pursuant to this License or the Solar Services <br />Agreement. <br />R. "Perm" has the meaning set forth in Article 2.4. <br />S. "Waived Party" has the meaning set forth in Article 7.2. <br />T.
