2.1 License. In consideration of the mutual covenants and agreements set forth in this
<br />License and the Solar Services Agreement, Licensor hereby grants to Licensee an exclusive license
<br />during the Term to occupy and use those premises described and/or shown on the attached Exhibit A
<br />which is incorporated herein and made a part hereof by this reference (the "Premises"). The Premises are
<br />located on that certain parcel of real property owned by Licensor and more particularly described on
<br />Exhibit B'which is incorporated herein and made a part hereof by this reference (the "Site'). LICENSOR
<br />RESERVES FOR ITSELF AND ITS SUCCESSORS AND ASSIGNS THE RIGHT TO USE THE
<br />PREMISES FOR ANY PURPOSE WHATSOEVER THAT DOES NOT UNREASONABLY
<br />INTERFERE WITH LICENSEE'S USE OF THE PREMISES FOR THE PURPOSES FOR WHICH
<br />THIS LICENSE IS GRANTED. LICENSOR AGREES THAT ANY USE OF THE PREMISES BY IT
<br />THAT RESULTS IN A REDUCTION OF INSOLATION OR ELECTRIC POWER GENERATION IS
<br />AN UNREASONABLE INTERFERENCE WITH LICENSEE'S USE OF THE PREMISES.
<br />2.2 Grant of Easement and Other Rights. In further consideration of the mutual covenants
<br />and agreements set forth in this License and the Solar Services Agreement, Licensor hereby grants to
<br />Licensee, for no additional consideration and for the entire Tenn (as defined below), a non-exclusive
<br />easement and rights of access over those portions of the Site and any adjacent property owned or
<br />controlled by Licensor, to construct, install, operate, maintain, repair, replace, inspect and remove the
<br />Solar Power Facilities as the Parties mutually agree are necessary in connection with Licensee's
<br />performance of its obligations and enforcement of its rights under the Solar Services Agreement or this
<br />License and for no other purpose. Access to the Site(s) by Licensee shall be only upon reasonable prior
<br />notice to Licensor (except in the case of an emergency, in which case no prior notice is required), subject
<br />to Licensor's reasonable safety and security policies and procedures in effect from time to time, and
<br />during all reasonable times. The Parties shall execute such other mutually acceptable grants, licenses,
<br />deeds or customary documents as may be legally required to enable Licensee to record such rights,
<br />privileges, rights-of-way and easements. Each Party shall be responsible for its own costs and expenses,
<br />including recording fees, associated with the documentation and recordation of such rights, privileges,
<br />rights-of-way and easements.
<br />2.3. Exercise of Rights. Licensee shall use commercially reasonable efforts in the exercise of its
<br />rights under the License or the Solar Services Agreement not to obstruct, limit or otherwise disturb
<br />or interfere with Licensor's access to, use of, or operations on the Site. In the event Licensor
<br />notifies Licensee that anv activities of Licensee violate the foregoing covenant, Licensee shall
<br />promptly take all reasonable action, at its sole expense, to remove and cure such violation. Licensor
<br />acknowledges and agrees that , IF PERFORMED IN ACCORDANCE WITH INDUSTRY
<br />STANDARDS AND THE TERMS OF THIS LICENSE AND THE SOLAR SERVICES
<br />AGREEMENT, the design, plan and location for the installation of the Solar Power Facilities and
<br />the exercise by Licensee of industry standard procedures and practices in constructing, installing,
<br />operating, maintaining, repairing, replacing, inspecting and removing the Solar Power Facilities
<br />does not obstruct, limit or otherwise disturb or interfere with Licensor's access to, use of, or
<br />operations on the Site.
<br />2.4 Signage. Subject to applicable Laws and to Licensor's reasonable approval as to
<br />location, size, configuration, content, material, and method of installation, Licensor hereby grants to
<br />Licensee a license during the Term to display reasonable signage in one (1) location for purposes of
<br />marketing and identifying Licensee (a) on the Site, during construction and installation of any Solar
<br />Power Facility thereon, and (b) on any building or other improvements on which a Solar Power Facility is
<br />located.
<br />2.5 Term. The term of this License (the "Term') shall commence on the Execution Date
<br />and, unless sooner terminated pursuant to the Solar Services Agreement, expire on the last day of the
