This A�_reement and the Declaration shall be bindin� upon and inure to the benefit of the Public Entity and the State Entity, and their respective successors and assi�ns. Provided, howe��er, that neither the Public Entity nor the State Entity may assi;n any of its ri;hts or obli�ations under this A�-eement or the Declaration �vithout the prior written consent of the other pariy. No chan�e or modification of the tetms or provisions of thi� Agreement or the Declaration shall be bindin; on either the Public Entity or the State Entity unless such change or modification is in writin� and si�ned by an authorized official of the party or a�ainst which such chan�e or modification is to be imposed. Section 7.17 �Vaiver. Neither the failure by the Public Entity, the State Entity, or the Commissioner of MVIB, as a third party beneficiary of this A�eement, in any one or more instances to insist upon the complete and total observance or performance of any term or provision hereof, nor the failure of the Public Entity, the State Entiry, or the Commissioner of MivIB, as a third party beneficiary of this A�reement, to exercise any ri�ht, privilege, or remedy conferred hereunder or afforded by law shall be construed as waivin� any breach of such term, provision, or the right to exercise such right, privilege, or remedy thereafter.
