Section 7.18 Entire Agreement. This Agreement, the Declaration, and the documents, if any, referred to and incorporated herein by reference embody the entire a�reement between the Public Entity and the State Entity, and there are no other a�reement�, either oral or written, between the Public Entity and the State Entity on the subject matter hereof. Section 7.19 Choice of Law and Venue. All matters relatinp to the validity, construction, perfonnance, or enforcement of this A�reement or the Declaration shall be determined in accordance �vith the la�vs of the State of Mintiesota. All le�al actions initiated with respect to or arisin� from any provision contained in this ��reement shall be initiated, filed and venued in the State of Nlinnesota District Court located in the City of St. Paul, County of Ramsey, State of Minnesota. Section 7.20 Severability. If any provision of this A�reemeilt is tinally jud�ed by any cotirt to be invalid, then the remainin� provisions shall remain in full force and effect and they shall be interpreted, performed, and enforced as if the invalid provision did not appear herein. Section 7.? 1 Time of Essence. Time is oF the essence with respect to a11 of the matters contained in thi� A�reement. Section 7.�2 Counterparts. This A�reement may be eYecuted in any number of counteiparts, each of which when so erecuted ancl dzlivered shall be an ori�inal, but such counteiparts sha11 to�ether constitute one and the saine instniment. The Public Entity shall supply to the Commissioner of �1�LB whatever documentation the Commissioner of MVLB may request to substantiate the availability and source of any matching funds, and the source and terms relatin� to all matchin; funds must be consented to, in writing, by the Commissioner of M�IB.
