Attachment A <br />46 <br />472.The purchase of the Property by the EDAis hereby approved pursuant to the <br />48terms of the Agreement, which is also approved in substantially the form presented to the <br />49Commission on this date, subject to modifications that do not materially alter the EDA’s <br />50rights and obligations under the Agreement and that are approved by the Authority’s <br />51President and Executive Director, which approvals shall be conclusively evidenced by <br />. <br />52execution of the Agreement <br />53 <br />543.The President and Executive Director of the EDAare hereby authorized and <br />55directed to execute all appropriate documents, including but not limited to the Agreement, to <br />56effectuate the transaction contemplated by this Resolution. <br />57 <br />584.The President and Executive Director of the EDA, staff and consultants are <br />59hereby authorized and directed to take any and all additional steps and actions necessary or <br />60convenient in order to accomplish the intent of this Resolution, including, without <br />61limitation, making payments for the Property purchase, consultants and closing costs <br />62outlined in the Agreement and execution of any documents necessary. <br />63 <br />64The motion for the adoption of the foregoing resolution was duly seconded by Member <br />65 <br />66 , and upon a vote being taken thereon, the following voted in favor thereof: <br />67 <br />68 and the following voted against the same: none. <br />69 <br />70WHEREUPON said resolution was declared duly passed and adopted. <br />71 <br />72 <br /> <br />
