9a. Attachment B <br />135 <br />Section 1. Employees. Subject to limits set by the appropriations or other funds <br />136 <br />made available, the Authority may employ such staff, technicians, and experts as may be deemed <br />137 <br />proper and may incur such other expenses as maybe necessary and proper for the conduct of its <br />138 <br />affairs. <br />139 <br />140 <br />Section 2. Contract for Services. The Authority may contract for services of <br />141 <br />consultants, agents, public accountants, and other persons needed to perform its duties and <br />142 <br />exercise its powers. <br />143 <br />144 <br />Section 3. Legal Services. The Authority may use the services of the city attorney or <br />145 <br />hire a general counsel for its legal needs. The city attorney or general counsel, as determined by <br />146 <br />the Authority, is its chief legal advisor. <br />147 <br />148 <br />Section 4. Supplies.The Authority may purchase the supplies and materials it needs <br />149 <br />to carry out its function pursuant to Minnesota Statutes, Sections 469.090 to 469.1081. <br />150 <br />151 <br />Section 5. City Purchasing.The Authority may use the facilities of its city’s <br />152 <br />purchasing department in connection with construction work and to purchase equipment, <br />153 <br />supplies, or materials. <br />154 <br />155 <br />Section 6. City Facilities, Services. The City may furnish offices, structures and <br />156 <br />space, and stenographic, clerical, engineering, or other assistance to the Authority. <br />157 <br />158 <br />Section 7. Delegation Power. The Authority may delegate to one or more of its <br />159 <br />agents or employees powers or duties as it may deem proper. <br />160 <br />161 <br />ARTICLE VII - POWERS <br />162 <br />163 <br />Section 1. Functions, Powers, and Duties. Shall be in accordance with the <br />164 <br />Enabling Resolution. <br />165 <br />166 <br />Section 2. Limitations of Power. Shall be in accordance with the Enabling <br />167 <br />Resolution. <br />168 <br />169 <br />ARTICLE VIII - AMENDMENTS <br />170 <br />171 <br />Section 1. Amendment to Bylaws. The bylaws of the Authority shall be amended by <br />172 <br />a majority vote of the Authority membership at a regular or special meeting. The amendments <br />173 <br />must be in written form. <br />174 <br />175 <br />Section 2. Conflicts. In any instance where these bylaws are in conflict with the <br />176 <br />Enabling Resolution, the Enabling Resolution shall control. <br />177 <br />178 <br />Section 3. Effective Date.
