Borrower is Journey <br />1000 <br />Home Minnesota, a Minnesota nonprofit corporation (“Borrower”). This Mortgage is given to <br />1001 <br />the Roseville Economic Development Authority, a public body corporate and politic (the <br />1002 <br />“Authority”). Borrower owes the Authority the principal sum of $115,000.00. This debt is <br />1003 <br />evidenced by a promissory note of even date herewith (the “Note”). This Mortgage secures to <br />1004 <br />Authority: (a) the repayment of the debt evidenced by the Note, and all renewals, extensions and <br />1005 <br />modifications of the Note; (b) the payment of all other sums, advanced to protect the security of <br />1006 <br />this Mortgage; (c) the performance of Borrower’s covenants and agreements under this <br />1007 <br />Mortgage and the Note; and (d) is subject to the terms and conditions of that certain Purchase <br />1008 <br />and Development Agreement between Borrower and Authority, dated as of ______________, <br />1009 <br />2017. For this purpose, Borrower does hereby mortgage, grant and convey to the Authority, <br />1010 <br />with power of sale, the property located in Ramsey County, Minnesota and fully described in the <br />1011 <br />attached Exhibit A, together with all the improvements now or hereafter erected on the property, <br />1012 <br />and all easements, appurtenances, and fixtures now or hereafter a part of the property. All <br />1013 <br />replacements and additions shall also be covered by this Mortgage. All of the foregoing is <br />1014 <br />referred to in this Mortgage as the “Property.” <br />1015 <br />1016 <br /> BORROWER COVENANTS that Borrower is lawfully seized of the estate hereby <br />1017 <br />conveyed and has the right to mortgage, grant, and convey the Property and that the Property is <br />1018 <br />unencumbered, except for encumbrances of record and as set forth in paragraph 17. Borrower <br />1019 <br />warrants and will defend generally the title to the Property against all claims and demands, <br />1020 <br />subject to any encumbrances of record. <br />1021 <br />1022 <br /> Borrower and the Authority agree as follows: <br />1023 <br />1024 <br /> 1. PAYMENT OF PRINCIPAL; LATE CHARGES.
