Revised 1/7/2015 <br />1 <br />2 <br />Standard Agreement for Professional Services <br />3 <br />4 <br />made <br />5This Agreement (“Agreement”) is on the 1day of March, 2017, between the City of <br />6Roseville, a municipal corporation (hereinafter “City”), and LHB Incorporated located at 701 <br />7Washington Avenue N., Suite 200, Minneapolis MN. 55401 (hereinafter “Contractor”). <br />8 <br />Preliminary Statement <br />9 <br />10 <br />11The City has adopted a policy regarding the selection and hiring of Contractors to provide a variety <br />12of professional services for City projects. That policy requires that persons, firms or corporations <br />13providing such services enter into written agreements with the City. The purpose of this <br />14Agreement is to set forth the terms and conditions for the performance of professional services by <br />15the Contractor. <br />16 <br />17The City and Contractor agree as follows: <br />18 <br />Scope of Work Proposal. <br />191.The Contractor agrees to provide the professional services <br />20shown in Exhibit “A” attached hereto (“Work”) in consideration for the compensation set <br />21forth in Provision 3 below. The terms of this Agreement shall take precedence over and <br />22supersede any provisions and/or conditions in any proposal submitted by the Contractor. <br />23 <br />Term. <br />242.The term of this Agreement shall be from contract execution through January 31, <br />252018,the date of signature by the parties notwithstanding. <br />26 <br />Compensation for Services. <br />273.The City agrees to pay the Contractor the compensation <br />28described in Exhibit A attached hereto for the Work, subject to the following: <br />29 <br />30A.Any changes in the Work which may result in an increase to the compensation due the <br />31Contractor shall require prior written approval of the City. The City will not pay <br />32additional compensation for Work that does not have such prior written approval. <br />33 <br />34B.Third party independent contractors and/or subcontractors may be retained by the <br />35Contractor when required by the complex or specialized nature of the Work when <br />36authorized in writing by the City.The Contractor shall be responsible for and shall pay <br />37all costs and expenses payable to such third party contractors unless otherwise agreed <br />38to by the parties in writing. <br />39 <br />City Assistance. <br />404. The City agrees to provide the Contractor with the following assistance <br />41concerning the Work to be performed hereunder: <br />42 <br />43A.Depending on the nature of the Work, Contractor may from time to time require access <br />44to public and private lands or property.
