i <br /> i <br /> amount of such credit balance, or (ii) to Seller,Buyer will pay the amount thereof to Title Company, on Seller's <br /> behalf,at the Closing by wire transfer. <br /> 6.11 Leasing;Commissions.At or prior to Closing,Seller will pay any real estate commissions for the Leases <br /> except for any such commissions to be assumed and paid by Buyer pursuant to Section 8. <br /> 6.12 Leasing Expenses,At Closing, Seller and Buyer will pay or reimburse each other for expenses relating <br /> to Leases pursuant to and ui accordance with the provisions of Section 8, <br /> 6,13 Sales Tax.Buyer will pay,in addition to the Purchase Price,all state and local sales taxes arising from <br /> the transaction herein described, if any. <br /> 6.14 Attorney's Fees. Each of the parties will pay its own attorney's fees relating to the preparation, <br /> negotiation,and enforcement of this Agreement. <br /> 6.15 Other Costs.All other operating costs of the Property will be allocated between Seller and Buyer as of <br /> the Closing Date, so that Seller pays that part of such other operating costs attributable to the period before the <br /> Closing Date,and Buyer pays that part of such other operating costs attributable to the period on and after the <br /> Closing Date.Each party will pay any other costs customarily paid by such party pursuant to local practice. <br /> 7.0 Title Examination.Title Examination will be conducted as follows: <br /> 7.1 Seller's Title Evidence.Seller will,as soon as possible after the Contract Date,furnish the following <br /> (collectively,along with the-Survey,"Title Evidence")to Buyer: <br /> 7.1,1 Title Commitment.The commitment issued by Title Company for a Title Policy to insure the <br /> Property("Title Commitment"),accompanied by legible copies of all documents referenced in the Title <br /> Commitment. <br /> 7.1.2 Intentionally deleted. <br /> 7.1.3 UCC Search. A report of the Uniform Commercial Code records of the Minnesota Secretary <br /> of State and the county in which the Property is located made by a search firm reasonably acceptable to Buyer. <br /> 7.2 Buyer's Title Objections. Within 30 days after receiving the last of the Title Evidence but no later <br /> than March 15, 2018, Buyer will ex- amine the title to the Property and make written objections ("Title <br /> Objections") to the form or contents of the Title Evidence, If Buyer fails to give any notice to Seller by such date, <br /> Buyer will be deemed to have waived its right to object to any title exceptions or defects shown in the Title <br /> Evidence. <br /> If Buyer gives Seller timely notice of Title Objections, Seller will use commercially reasonable efforts to <br /> cure or satisfy the Title Objections within a reasonable tune,not to exceed 60 days after Seller's receipt of the Title <br /> Objections, during which period the Closing will be postponed if necessary until five days after Seller cures or <br /> satisfies the Title Objections. To the extent any Title Objection is a result of voluntary or involuntary monetary <br /> liens which can be satisfied by the payment of money,Seller shall pay the same at the Closing to the satisfaction <br /> of the Title Objections, and the amount so applied will reduce the amount of cash payable to Seller at the Closing. <br /> If the Title Objections are not cured within the 60 day period,Buyer will have the option to do any of the following: <br /> 7.2.1 Terminate this Agreement and receive a refund of the Earnest Money. <br /> 7.2.2 Close the transaction and withhold fi•om the Purchase Price an amount which,hi the reasonable <br /> Page 14 of 38 <br />
