i <br /> 8.3 Continue to provide all services currently provided by Seller with respect to the Property or any portion <br /> thereof, and to continue to operate, manage, and maintain (including repairs and replacements) the Property in <br /> substantially the same manner as Seller currently operates, manages, and maintains (including repairs and <br /> replacements)the Property;and <br /> 8.4 Keep Buyer timely advised of any repairs or improvements required to keep the Property or any portion <br /> thereof in the condition required by this Agreement, which cost in excess of$10,000.00. <br /> Seller will give Buyer written notice of any citation or other notice which Seller receives,subsequent to the <br /> Contract Date,from any governmental authority concerning any alleged violation of any law,ordinance, code,rule, <br /> regulation,or order regulating the Property or the use thereof.Seller will pay in dill,prior to the Closing Date,all bills <br /> and invoices for labor,materials and services relating to the Property furnished by or on behalf of Seller which are <br /> attributable to the period prior to the Closing Date,subject to Closing prorations, and which Buyer is not otherwise <br /> responsible for paying pursuant to this Agreement. From and after the Contract Date, Seller will not apply any <br /> Security Deposit to rent due from any Tenant. <br /> 8.5 Seller has advised Buyer that the roof on the Property was damaged by hail in a storm.and Seller <br /> sustained a casualty loss under its insurance policy. Seller has secured an estimate. for the repair and <br /> replacement of the roof. Seller shall, prior to the Closing Date, repair and replace the roof pursuant to an <br /> agreement by and between Seller and Seller's insurance carrier. Seller shall assign to Buyer any warranties in <br /> connection with the roof and provide evidence at Closing that Seller has paid in full all costs and expenses <br /> incurred in connection with the repair and replacement of the roof. In the event Seller is unable to repair and <br /> replace the roof prior to the Date of Closing,then the entire amount paid or to be paid by the insurance company <br /> shall be placed in escrow at Closing. Seller shall repair and replace the roof,provide evidence of the repair and <br /> replacement to the roof to Buyer, assign any warranties in connection with the repair and replacement of the <br /> roof to Buyer,and provide evidence of payment in frill by all contractors or subcontractors and provide to Buyer <br /> Mechanic's Lien waivers in connection with the repair and replacement of the roof. <br /> 9. Contracts.Seller will,at Seller's sole cost and expense,at or prior to the Closing,terminate all Contracts, <br /> except those Contracts,designated by Buyer within 30 days prior to the Closing Date to be Surviving Contracts, <br /> which Buyer elects to assume.Seller will pay any cost,penalty,or fee associated with terminating those Contracts <br /> not designated as Surviving Contracts.Buyer will pay or reimburse Seller for any portion of the fees due for any <br /> Surviving Contracts which are attributable to the period from and after the Closing Date. <br /> 10. Representations and Warranties by Seller.As of the Contract Date,Seller represents,and warrants, <br /> where indicated, to Buyer as follows: <br /> 10.1 Authority. Seller is duly qualified to transact business in (lie State of Minnesota; Seller has the <br /> requisite power and authority to enter into and perform this Agreement, the Option Agreement, and those Seller's <br /> Closing Documents to be signed by it;this Agreement,the Option Agreement, and such documents have been duly <br /> authorized by all necessary action on the part of Seller and have been or will be as of the Closing Date, as <br /> applicable,duly executed and delivered; such execution,delivery and perfonnance by Seller of such documents do <br /> not conflict with or result in a violation of Seller's governing documents,or any judgment, order,or decree of any <br /> court or arbiter to which Seller is a party; such documents are valid and binding obligations of Seller, and are <br /> enforceable in accordance with their terms. <br /> 10.1.1 An item is un Seller's"possession"when: <br /> Page 16 of 38 <br />
