INFORMATIONTECHNOLOGYSHAREDSERVICEAGREEMENT <br />ThisINFORMATION TECHNOLOGYSHAREDSERVICEAGREEMENT (this <br />"Agreement")enteredintobyandbetweentheCityofRoseville,aMinnesota municipal <br />corporation ("Roseville"),andCoon Creek Watershed District,a special purpose local <br />government unit(“CCWD”)iseffectiveupontheexecutionofthisAgreementbythenamed <br />officersofbothorganizations.RosevilleandCCWDarereferredtoindividuallyas"Party"and <br />collectively asthe"Parties". <br />WHEREAS:TheCityofRosevilleandCoon Creek Watershed Districtagree towork <br />collaborativelyintheareasof InformationTechnology andrelatedserviceareas,collectively <br />referredtoas"IT'',and, <br />WHEREAS:ThepurposeofthisAgreementistodefinethetermsandconditionsunderwhich <br />serviceswillbedefinedandprovidedbyRoseville,byandthroughRoseville'sInformation <br />TechnologyDivision("RosevilleIT")toCCWD. <br />NOW,THEREFORE,inconsiderationofthemutualcovenantshereinandforgoodand <br />valuableconsideration,receiptofwhichisherebyacknowledged,thePartiesagreeasfollows; <br />SECTION1-DEFINITIONS. <br />As usedinthisAgreement,certaintermsshall have <br />thefollowingmeanings: <br />1.1 <br />"Agreement"shallmeanthecombinedtermsandconditionsofthisAgreement <br />andofspecificTaskOrderdependingoncontext. <br />1.2 <br />"Provider"shallmeanthepartytothisAgreementdefinedwithinaTaskOrder <br />specifiedasprovidingtheservicetotheotherparty. <br />1.3 <br />"Recipient"shallmeanthepartytothisAgreementdefinedwithinaTaskOrder <br />specifiedasreceivingservicesfromorthroughtheotherparty. <br />1.4 <br />"Services"shallgenerallyrepresentthe"ScopeofServices"asdefinedwithina <br />TaskOrderandmayrepresentanycombinationoflabor,whetherprovidedbythe <br />Provider'semployeesorathirdpartydesignatedbytheProvider,useoffacilities, <br />equipment,software,ormaterialgoodsutilizedorconsumedinprovidingtheServices. <br />1.5 <br />"TaskOrder"shallrepresentthetermsandconditionsofthisAgreementthat <br />specifyservices,products,andothercostsincurredbyonepartythataretobe <br />compensatedbytheotherparty.TaskOrderreferstothewrittenspecificationsforeither <br />annuallyrenewableServicesorproject-based Servicesthatarecompletedunder <br />accomplishmentofspecifieddeliverablesorotherprojectevent.TaskOrdersaremore <br />fullydefinedinSection10. <br />1.6 <br />"Holidays"includesNewYear'sDay,MartinLutherKing,Jr.Day,President's <br />Day,MemorialDay,IndependenceDay,LaborDay,Veterans'Day,Thanksgiving, <br />ChristmasEve,ChristmasDay,andotherdaysthatareconsistentwithpastpractices. <br />1.7 <br />"ServiceHours"means,unlessotherwisenoted,thehoursof8a.m.to5p.m. <br />localtime,MondaythroughFriday,excludingHolidays. <br /> <br />
