1.8 <br />"Entity"meansanycorporation(includinganynon-profitcorporation), <br />generalpartnership,limitedpartnership,limitedliabilitypartnership,jointventure, <br />estate,trust,cooperative,foundation,society, politicalparty,union,company <br />(includinganylimitedliabilitycompanyorjointstockcompany),firmorother <br />enterprise,association,organizationorentity. <br />1.9 <br />"GovernmentalBody"meansany(a)nation,principality,state, <br />commonwealth, province,territory,county,municipality,districtorotherjurisdiction; <br />(b)federal,state,local,municipalorforeigngovernment(includinganyagency, <br />department,bureau,division,court,orotheradministrativeorjudicialbodythereof); <br />or(c)governmentalorquasi-governmentalauthorityofanynature. <br />1.10 <br />"Software"meanssoftwareprograms,includingsupportingdocumentation <br />andonlinehelpfacilities.Softwareincludesapplicationssoftwareprogramsand <br />operatingsystemssoftwareprograms. <br />1.11 <br />"BusinessContinuity"meanstheability tomaintainoperations/servicesintheface <br />ofadisruptiveevent. <br />SECTION2-EFFECTIVEDATE <br />TheeffectivedateofthisAgreementisJanuary1, 2016orthelastdateofsignatureby <br />allparties,whicheverislaterandremainsineffectuntiltermination,asset forthin <br />Section3ofthisAgreement. <br />SECTION3-TERMINATION <br />3.1 <br />TerminationforConvenience.EitherpartymayterminatethisAgreementor <br />aspecificTaskOrderforconvenience,afterfirstprovidingwrittennoticeofthe <br />intenttoterminatetotheotherparty,oneyearinadvance. <br />3.2 <br />TerminationofTaskOrder.EachTaskOrdershallspecifythetimelinefor <br />noticetoterminatethatTaskOrder. <br />3.3 <br />TerminationbyMutualAgreement.Thepartiesmayterminatethis <br />agreementin wholeorinpart,atanytimebymutualagreement. <br />3.4 <br />TerminationoftheAgreementshallalsoterminateanyactiveTaskOrders <br />underthisAgreement. <br />3.5 <br />TerminationofaTaskOrderwillterminateallServicesasdefinedbythe <br />TaskOrderbutdoesnotalteranytermsorconditionsofanyotheractiveTaskOrder <br />orthis Agreement. <br />3.6 <br />Intheeventwrittennoticeofterminationisgivenbyeitherparty,both <br />partiesshallworktoaccomplisha completetransitionofservicesbeingterminated <br />withoutinterruptionof,oradverseimpacton,theservicesenjoyedbyeitherparty <br />underthis Agreement.Thedisentanglementprocessshallbeginassoonaspossible, <br />butnotlaterthanthedateoftermination.DisentanglementswillbedefinedasaTask <br />Orderandbothparties,shallingoodfaith,seektomaintainexistingservicelevels <br />andminimizethe disruptionofservicesuntilthedisentanglementiscompleted.Each <br />partyshallbearitscostofdisentanglement,unlessseparatelydefinedwithinaTask <br />Order,orasmayotherwisebeagreedbybothparties. <br /> <br />
