<br />AnydisputeunderSection5.1ofthisAgreementthatcannotberesolvedbythe
<br />ManagersmaybesubmittedtomediationthroughthestateBureauofMediation
<br />Services,thecostofwhichshallbeborneequallybetweentheparties.

<br />Intheeventeitherpartydeterminesthattherehasbeenabreachoftheprovisions
<br />ofthisAgreementorarelatedTaskOrderwhichcannotberesolvedbytheManagers,
<br />theAgreementorrelatedTaskOrdermaybeterminatedasdescribedin Section3.
<br />SECTION6-INDEPENDENTCONTRACTOR
<br />AProvideris,andshallatalltimesbe,deemedtobeanindependentcontractorinthe
<br />provisionoftheServicessetforthinthisAgreement.NothinginthisAgreementshallbe
<br />deemedorconstruedascreatingajointventureorpartnershipbetweentheParties.
<br />NeitherPartyisbyvirtueof thisAgreementauthorizedas anagent,employee,orlegal
<br />representativeoftheotherParty,andtherelationshipofthePartiesis,andatalltimes
<br />willcontinuetobe,thatofindependentcontractors.AProvidershallretainallauthority
<br />andresponsibilityfortheprovisionofServices,standardsof performance,disciplineand
<br />controlofpersonnel,andothermattersincidenttotheperformanceofservicesbya
<br />ProviderpursuanttothisAgreement.AProvidershallcomplywithallrelevantFederal,
<br />State,andmunicipallaws,rules,andregulations.NothinginthisAgreementshallmake
<br />anyemployeeoftheRecipientjurisdiction,anemployeeofaProviderjurisdictionorany
<br />employeeofaProviderjurisdiction,anemployeeoftheRecipientjurisdictionsforany
<br />purpose,includingbutnotlimitedto,withholdingoftaxes,paymentofbenefits,workers'
<br />compensationbenefits,oranyotherrightsorprivilegesaffordedsaidemployeesby
<br />virtueof theiremployment.
<br />SECTION7-ASSIGNMENT/SUBCONTRACTING
<br />NeithertheRecipientnortheProvidershalltransferorassign,inwholeorinpart,anyor
<br />alloftheirrespectiverightsorobligationsunderthisAgreementwithoutthepriorwritten
<br />consentoftheother.
<br />SECTION8-HOLDHARMLESSINDEMNIFICATION
<br />8.1
<br />Eachpartyagreestoindemnify,defend,saveandholdharmlesstheother,its
<br />officials,employeesandagentsfromanyandallliability,demands,claims,causesof
<br />action,suitsorjudgments,includingcosts,attorneyfeesandexpensesincurredin
<br />connectiontherewith,orwhatsoeverkindornature,arisingoutof,orinconnectionwith,
<br />orincidentto,itsnegligentactsoromissionsunderthisAgreement.Withoutlimitingthe
<br />generalityoftheforegoing,thepartiesfurtherexpresslyagreetoindemnify,defend,save
<br />andholdharmlesstheotherparty,itsofficials,employees,andagents,fromandagainst
<br />anyandallliability,claims,demands,losses,damage,costs,causesofaction,suitsor
<br />judgments,includingattorneyfees,costsorexpensesincurredinconnectiontherewith,
<br />fordeathsorinjuriestopersonarisingoutof,inconnectionwith,orincidenttothe
<br />performanceofthisAgreementbyaProvider,itsofficials,employees,oragents.
