3.7 <br />Third-PartyAuthorizations.Providershallexecuteanythird-partyauthorizations <br />necessarytogranttheRecipienttheuseandbenefitofanythird-partycontracts,tothe <br />limitsallowedbythecontracts. <br />3.8 <br />LicensestoProprietarySoftware.ProvidershallnegotiatetoallowtheRecipient <br />(afterreceivingwrittenapprovalfromtheProvider)touse,copy,andmodify, <br />applicationsandprogramsdevelopedbytheProviderthatwouldbeneededinorderto <br />allowtheRecipienttocontinuetoperformforitself,unlessotherwiseprohibitedbythe <br />software'slicensingagreement. <br />3.9 <br />DeliveryofDocumentation.Providershallmakereasonableeffortstodeliverto <br />theRecipientoritsdesignee,attheRecipient'srequest,allavailabledocumentationand <br />datarelatedtotheRecipient,includingtheRecipientDataheldbyProvider.Costs <br />incurredwillbebornebyRecipient. <br />3.10 <br />Personnel.ShouldtheRecipientdecidetoreduceorterminateanyportionofthis <br />Agreement,totheextentthatsuchreductionor terminationwilldisplaceoneormore <br />Provideremployees,thenitisagreedthattheparties will,iffeasible,transferpersonnel <br />fromtheProvidertotheRecipientinordertoprovideareasonableopportunitytoprovide <br />staffcontinuedemployment. <br />SECTION4-COORDINATIONANDCOMMUNICATION <br />4.1 TheManagement Committee,composedofa designated representative for <br />CCWDand Roseville shallprovideoversight andadministerthisagreement.Designated <br />representativesareconsideredauthorized representativesoftheirrespectivemanagement <br />andshallbeempoweredwithauthorities grantedtotheManagementCommitteeunder <br />thisAgreement. <br />4.2 TheManagementCommitteeshallmeetquarterly(orasotherwisemutually <br />agreed)toreviewtheperformancewithregardtomaterialaspects,riskmanagement,as <br />wellastheeffectivenessandvalueoftheServicesandTaskOrderprovidedbetweenthe <br />ProviderandtheRecipient. <br />4.3 AgreementReview.TheManagementCommitteewillmeetannually,toformally <br />reviewand,totheextentmutuallyagreeduponbytheParties,updatetheterms,pricing, <br />conditionsandotherdetailsofthisAgreementandanyTaskOrdersothattheon-going <br />businessrequirementsofbothPartiesaremet. <br />SECTION5-DISPUTERESOLUTION <br />5.1 IntheeventofadisputebetweenCCWDandRosevilleregardingthe delivery <br />ofServicesunderthisAgreementoranyrelatedTaskOrder,theManagement <br />Committeeshallreviewdisputesandrecommendoptionsforresolutiontotheinvolved <br />personnel. <br />5.2 AnydisputenotresolvedbytheManagementCommitteeshallbereferredtothe <br />CCWDAdministrator andtheRosevilleCityManager(collectively"Managers"),ortheir <br />designatedrepresentatives,whoshallreviewthedisputeandoptionsforresolution. The <br />resolutionoftheManagersregardingthedisputeshallbefinalas betweenthepartiesand <br />shallbereducedtowritingasanaddendumtothisAgreement. <br /> <br />
