9.2 <br />ChoiceofLaw;ConsenttoJurisdiction.ThisAgreementshallbeconstruedin <br />accordancewith,andgovernedinallrespectsby,theinternallawsoftheStateof <br />Minnesota. <br />9.3 <br />ForceMajeure.NeitherPartywillbeliablefordelaysorfailuretoperform <br />Servicesifduetoanycauseorconditionsbeyonditsreasonablecontrol,including,but <br />notlimitedto,delaysorfailuresduetoactsofGod,naturaldisasters,actsofcivilor <br />militaryauthority,fire,flood,earthquake,strikes,wars,orutilitydisruptions(shortageof <br />power). <br />9.4 <br />EntireAgreement;Amendment;Waivers.ThisAgreement,togetherwithall <br />Exhibitshereto,constitutestheentireagreementbetweenthePartiespertainingtothe <br />subjectmatt.erhereofandsupersedesallprioragreements,understandings,negotiations <br />anddiscussions,whetheroralorwritten,oftheParties.Nosupplement,modificationor <br />waiverofthisAgreementshallbebindingunlessexecutedin writingbythePartytobe <br />boundthereby.NowaiverofanyoftheprovisionsofthisAgreementshallbedeemedor <br />shallconstituteawaiverofanyotherprovisionhereof(whetherornotsimilar),norshall <br />suchwaiverconstituteacontinuingwaiverunlessotherwiseexpresslyprovided. <br />9.5 <br />Severability.Intheeventthatanyoneormoreoftheprovisionscontainedinthis <br />Agreementorinanyotherinstrumentreferredtoherein,is,foranyreason,heldtobe <br />invalid,illegalorunenforceableinanyrespect,suchinvalidity,illegalityor <br />unenforceabilityshallnotaffectanyotherprovisionofthisAgreementoranyothersuch <br />instrumentandtheinvalid,illegalorunenforceableprovisionshallbedeemedmodified <br />soas tobevalid,legalandenforceabletothemaximumextentallowedunderapplicable <br />law. <br />9.6 <br />PartiesObligatedandBenefited.ThisAgreementwillbebindinguponthe <br />Partiesheretoandtheirrespectivepermittedassignsandsuccessorsininterestandwill <br />inuresolelytothebenefitofsuchPartiesandtheirrespectivepermittedassignsand <br />successorsininterest,andnootherPerson. <br />SECTION10-SERVICESANDTASKORDERS <br />10.1 <br />WhereCCWDandRosevilleexchangeServicesunderthisAgreement, such <br />ServiceswillbedefinedintheformofaTaskOrder,inwritingandsignedby the <br />ManagementCommittee. <br />(a)Theintentofthisprovisionistoensureclearcommunicationsand <br />commitmentpriortoeitherpartytakingactionorincurringcostsonbehalfofthe <br />other.Bothpartieswillactingoodfaithtoidentifyrequirements,expectations <br />andtoadheretothecommitmentsspecifiedwithinthisAgreement. <br />(b)ServicesexchangedoractionstakenwiththeintentofprovidingServices <br />betweenCCWDandRosevillewithoutanagreedTaskOrderwillnotbe <br />coveredbythetermsoftheAgreementandincurredcostswillnotbe <br />reimbursed.ThepartyrequestingServicescovenants,bywayofexecutinga <br />TaskOrderpursuanttothisAgreementthatits requestsforServicearewithin <br />theannualbudgetforthatparty. <br /> <br />
