(c)Incasesofemergency,wheretheurgencyofcircumstanceprecludesthe <br />practicalityofexecutingaTaskOrderforaServicenotcoveredbyanexisting <br />TaskOrder,theTaskOrdermaybereducedtowritingandexecutedassoon <br />afterprovisionofServicesasispracticable.Wherethepartiescannotagreeon <br />thetermsofthewrittenTaskOrder,thepartiesagreetofollowthedispute <br />resolutionproceduressetforthinSection5.Anemergencymaybeany <br />unanticipatedeventorcircumstanceoutsidetheboundsofexistingprovisions <br />underanyactiveTaskOrderthattheManagementCommitteemembersorthe <br />designeesofbothpartiesdeclareassuch. <br />(d)Unlessagreedotherwisebybothparties,thecostsincurredin theplanning, <br />preparingandprocessingofaTaskOrderbyonepartywillnotbechargedto <br />theother. <br />10.2 AllTaskOrdersaresubjecttothetermsandconditionofthisAgreement. <br />10.3 AllTaskOrdersmustminimallyincludeacceptancebytheManagement <br />Committee.TheManagementCommitteeshallensurethatanyadditionalauthorization <br />requirements,withrespecttotheirindividualorganizations,havebeensecuredpriorto <br />initiatingoramendingtheTaskOrders. <br />10.4 DurationofaTaskOrdershallbedefinedintheTaskOrderandmaybe:a <br />limitedtimeperiod;concludeduponaccomplishmentofspecifieddeliverables;ora <br />continuingServicewithregularrenewalreview. <br />(a) <br />TaskOrdersmayaddressServicesthatareofageneralorcontinuousnature <br />thatwouldbereviewedannually,atthesametimeastheAgreement.SuchTask <br />ordersmayalsobeterminatedinaccordancetothetermsdefinedinSection3. <br />(b) <br />Alternatively,TaskOrdersmayalsobedefinedinassociationwithaspecific <br />Projectwhichwouldincludespecificcriteriafornormalcompletion(e.g.point-in- <br />time,deliverableacceptance);thesetoomaybeterminatedinaccordancetothe <br />termsdefinedinSection3. <br />10.5 TaskOrdersmaynotamendthisAgreementoritstermsandconditions,butshall <br />specifyServices,rates,andotheraspectsofthescopeofworkforspecificServices <br />relatedtothisAgreement.ThetermsofaTaskOrderwillapplyonlytothespecificTask <br />Orderandmaynotchangesuch termsorconditionsrelativetotheAgreementorother <br />TaskOrders. <br />10.6 EachTaskOrderwillutilizethestandardizedform. AttachedasExhibitA. <br />10.7 ProviderofServiceswilltrackandreportstatus,asmaybedefinedintheTask <br />Order,withregardto: <br />(a) <br />Performance-related servicelevels. <br />(b) <br />Progresstowardsdeliverables. <br />(c) <br />Billedcostsvs.maximumspecifiedannualTaskOrderbudgetedamount. <br /> <br />
