reached,thepartiesagreetofollowthedisputeresolutionproceduressetforthinSection <br />5. <br />12.3 AccesstoRecipientfacilities.TheRecipient,dependingonrequirementsofthe <br />TaskOrder,initssolediscretion,mayapproveanyProvideremployeesrequiring <br />access toanyRecipientfacility.ShouldRecipientrefuseaccesstoanyProvider <br />employee attemptingtoactinaccordancewiththisAgreement,theProvidershallnot <br />beheldinbreachofthisAgreementastotheServicesaffected. <br />12.4 Staffsubstitution.In theeventthatRecipientnotifiesProviderthatitwishes <br />Providertoreplaceanemployeeof theProviderprovidingservicestoRecipient, <br />RecipientandProvidershallmeettoattempttoresolveRecipient'sconcerns.Ifthe <br />partiesarenotabletoresolveRecipient'sconcernswithinten(10)daysafterRecipient's <br />noticetoProvider(orsuchlaterdateagreeduponbybothparties),providershall <br />exercisereasonablediligencetohonorRecipient'srequeststoreplacethestaffmember. <br />12.5 <br />Backgroundchecks.AsmayberequiredbytheRecipientandtherequirementsof <br />aTaskOrder,theProvidershallberesponsibleforconductingabackgroundcheckonall <br />personnelhiredaftertheeffectivedateofthisAgreementoraftertheeffectivedateofthe <br />relatedTaskOrderwhoprovideservicestotheRecipient.Thebackgroundinvestigation <br />shallincludebutnotbelimitedto,a creditcheckandcriminalrecordscheckfor <br />misdemeanorsandfelonies. IfrequestedbytheRecipient,backgroundcheckswillbe <br />performedoncurrentemployeesthathaveaccesstotheRecipient'ssensitivedata. <br />12.6 <br />StaffDirection.InsituationswhereCCWD's staffreceivesdirectionfrom <br />Roseville stafforRoseville'sstaffreceivesdirectionfromCCWD'sstaffthatmaybe <br />inconflictwitheitherCCWD'sorRoseville'sITstrategicdirection, policyor <br />guidelines,termsandconditionsofthisAgreement,orthatmayresultin potential <br />risktoeitherParty'ssharedinfrastructure,theinvolvedstaffwill immediatelynotify <br />theManagementCommitteeofsuchpotentialconflictandoftherelevantpolicy, <br />guidelineortermorconditionof thisAgreementanddelayimplementingsuch <br />direction,unlessimmediateactionisrequiredtoensurebusiness <br />continuity,untilthe <br />conflictcanberesolvedinconsultationwiththeManagement Committee.Theparties <br />willprovideoneanotherandtheirrespectivestaffmembers withcopiesoftheir <br />respectivestrategicplans,policies,andguidelinesandofthisAgreement.Neither <br />partyisobligatedtodelayactionbasedonastrategicplan, policy,guidelineorterm <br />orconditionofthisAgreementifsuchcopieshavenotbeenprovided.The <br />ManagementCommitteewillmakebesteffortstoexpediteidentificationand <br />resolutionofconflictsandprovidepromptdirectiontotheir respectivestaffmembers. <br />Ifthepartiesarenotabletoresolvetheconflict,theprovisionsofSection5(Dispute <br />Resolution)shallapply. <br />12.7 <br />Employeesphysicallyworkingatafacilityoftheotherpartywillactin <br />accordancewithallpoliciesandproceduresregardingappropriateconductinthat <br />party'sworkplace.ExceptionsmaybeidentifiedbytheProviderandaresubjectto <br /> <br />
