10.8 If the deliverablesspecifiedinaTaskOrderarenotachievedortheRecipient <br />believesitisnotreceivingacceptableservice,thepartiesshallfollowthedispute <br />resolutionproceduressetforthinSection5andforTerminationforBreachsetforthin <br />Section 5.4. <br />SECTION11-FINANCIALTERMSANDPAYMENTPROCESS <br />11.1 Unlessagreedotherwisebybothparties,theProviderwillpresentinvoicesto <br />Recipientmonthly.ChargesforServiceswillbeinvoicednolaterthanthirty(30)days <br />followingtheperiodinwhichServicesweredelivered,costsincurredandallrelevant <br />vendororsupplierinvoiceshavebeenreceived,ortheprojectmilestoneforpaymentis <br />accomplished. <br />11.2 InvoicesmaycombinechargesfrommultipleTaskOrders,unlessotherwise <br />definedforaspecificTaskOrder. <br />11.3 Invoicesshallinclude: <br />(a)Totalofallchargesrepresentedontheinvoice. <br />(b)ItemizationbyTaskOrderandasfurtherinstructedwithintheTaskOrder. <br />(c)Copiesofthird-partyinvoicesrepresentingabasisfortheinvoicedcharge. <br />(d)AnyotherdetailasmaybespecifiedwithintherelatedTaskOrder. <br />11.4 UnlessotherwisedefinedintheTaskOrder,invoicesaredueandpayabletothe <br />Providerwithinthirty(30)daysof receiptoftheinvoicebytheRecipient.Aninvoice <br />maybedisputedwithinthethirty(30)dayperiod.AnyProvider-proposedresolution will <br />to <br />restartthethirty(30)dayperiodforpayment,withoutwaivingtheRecipient'srights <br />disputeresolutionunderSection5. <br />11.5 Invoicedamountsmaybechangeduponmutualconsentofpartiespursuantto <br />Section10andeachaffectedTaskOrder. <br />11.6 Disputesregardinginvoicesthatcannotbeotherwiseresolved,thepartiesagree <br />tofollowthedisputeresolutionproceduressetforthinSection5. <br />SECTION12-PERSONNEL <br />12.1 Assignedstaff.Providershalldesignatethepersonneltoprovideservices tothe <br />Recipient.Recipientreservestherighttoreviewthequalificationsofpersonnel <br />providingservicesunderthisAgreement,andtomakerecommendationsregarding <br />placementofsuchpersonnelforthebenefitofRecipient. <br />12.2 If the Recipientbelievesthattheperformanceorconductofanypersonemployed <br />orretainedbytheProviderto performobligationsunderthisAgreementis unsatisfactory <br />foranyreason,orisnotincompliancewiththeprovisionof thisAgreement,theRecipient <br />willnotifytheProvider.TheProviderwillestablishaplantoresolvetheissuewithina <br />deadline agreeabletotheRecipient.Ifamutuallyacceptable solutioncannotbe <br /> <br />
