Community Solar Garden Requirements. (Continued) <br />F. Annual Report. The Community Solar Garden Operator shall issue (and provide to the Company and <br />each Subscriber) public annual reports as of the end of the calendar or other fiscal year containing, at a minimum, the <br />energy produced by the Community Solar Garden, audited financial statements including a balance sheet, income <br />statement, and sources and uses of funds statement, and the management and operatorship of the Community Solar <br />Garden Operator. The identity of specific Subscribers should not be listed in the public annual report, unless if there <br />is explicit informed Subscriber consent. The Community Solar Garden Operator shall take care to preserve the <br />privacy expectations of the Subscribers, such as not publicly providing the Subscriber's Account Information or <br />Subscriber Energy Usage Data or Bill Credits, unless there is explicit informed consent or otherwise provided for in <br />this Contract. Each Subscriber shall have an opportunity to submit comments to the Community Solar Garden <br />Operator with a copy to the Company on the accuracy and completeness of the annual reports. <br />G. Audits. The Company reserves the right to inspect the PV System as necessary to assure the safety and <br />reliability of the system at any time during the Term of this Contract, and for an additional period of one (1) year <br />thereafter. <br />H. Application Fee. Upon application, and prior to the Company processing the application, the Community <br />Solar Garden Operator must submit an application fee of $1,200 to the Company. This application fee may be by <br />check or wire transfer. The application fee is meant to cover the cost to the Company of processing the application. <br />I. Deposit. Upon application, and prior to the Company processing the application, the Community Solar Garden <br />Operator must submit a deposit of an amount equal to $100/kW to the Company. This Deposit may be submitted by check <br />or wire transfer. Within thirty (30) days after either the Date of Commercial Operation or the date when the Community <br />Solar Garden Operator informs the Company that it will no longer continue pursuing completion of the Community Solar <br />Garden project, or if the Date of Commercial Operation does not occur within the twenty four (24) month timeline (including <br />day -for -day extensions) detailed in Section 6.D above, the Company shall return to Community Solar Garden Operator the <br />deposit paid. When the deposit qualifies to be returned to the Community Solar Garden Operator, it shall also include <br />interest. Consistent with Minn. Stat. § 325E.02, the rate of interest will be set annually and will be equal to the weekly <br />average yield of one-year United States Treasury securities adjusted for constant maturity for the last full week in <br />November. The interest rate will be rounded to the nearest tenth of one (1) percent. The rate of interest announced by the <br />Commissioner of Commerce on or about December 15 of each year will be the rate of interest that will be paid on deposits <br />returned during the subsequent calendar year. <br />J. Participation Fee. Each year, the Community Solar Garden Operator will submit a participation fee of <br />$300 to the Company for ongoing costs incurred of administering the Solar*Rewards Community Program. The first <br />participation fee will be charged after the Date of Commercial Operation, and the final participation fee will be charged <br />prior to the Term of the Contract expiring. <br />(Continued on Sheet No. 9-78) <br />Date Filed: 09-30-13 By: David M.
