<br />B. Administrative Services means those services relating to the establishment, maintenance, and <br />administration of the Plans to be performed by MEDSURETY as set forth in this Agreement and <br />the exhibits and Addenda hereto. <br />C. Agreement means this Master Administration Agreement and any exhibits and Addenda <br />attached hereto and any outside agreements specifically incorporated by reference. <br />D. Code means the Internal Revenue Code of 1986 and regulations thereunder, as amended from <br />time to time. <br />E. COBRA means the Consolidated Omnibus Budget Reconciliation Act of 1985 (as it appears in <br />the Public Health Services Act) and regulations thereunder, as amended from time to time. <br />F. Covered Individual means a person properly covered under or participating in the Plan to which <br />MEDSURETY is providing services, including a Participant and the spouse and dependents of the <br />Participant covered pursuant to the terms of the Plans. <br />G. Effective Date means the date upon which this Agreement, once fully executed by all parties, is <br />first effective, January 1, 2020. <br />H. Employer means City of Roseville. <br />I. ERISA means the Employee Retirement Income Security Act of 1974 and regulations <br />thereunder, as amended from time to time. <br />J. HIPAA means the Health Insurance Portability and Accountability Act of 1996 and regulations <br />thereunder, as amended from time to time. <br />K. MEDSURETY means MEDSURETY, LLC, an independent contractor designated pursuant to this <br />Agreement to perform certain administrative services with respect to the Plans. <br />L. Participant means an eligible employee or former employee of Employer participating in the <br />Plan to which MEDSURETY is providing services in accordance with the terms thereof. <br />M. Plan or Plans means the programs or arrangements of benefits established and maintained by <br />Employer with respect to which MEDSURETY provides services under this Agreement or its <br />Addenda. If the HSA Administration Service <br />includes the health savings accounts to which Employer makes contributions on behalf of its <br />employees. <br />N. Plan Administrator means Employer. <br />O. PPACA means the Patient Protection and Affordable Care Act, as amended. <br />P.
