Attachment A <br />45 b. The City will pay the Developer’s contractor directly for the material, <br />46 its transportation, and the stockpiling. No additional consideration <br />47 will be paid by the City to the Developer. <br />48 <br />49 c. To confirm quantities, the City and the Developer’s contractor will <br />50 survey the site before and after the stockpile is made. <br />51 <br />52 d. The Developer’s contractor will stabilize the stockpile at the <br />53 Developer’s cost. Once the stockpile is stabilized, the City will take <br />54 over ownership and maintenance of the stockpile. <br />55 <br />56 e. The City shall remove the stockpile from the Property by August 1, <br />57 2021. The City shall be solely responsible for paying all costs to <br />58 remove the stockpile and restore the Property to reasonably the same <br />59 condition as before the stockpile was created. <br />60 <br />61 2. Temporary Easement.The Developer hereby grants and conveys to the <br />62 City, and its successors and assigns, a temporary easement for stockpiling <br />63 of the clean fill material referenced above, on,over, under, across, and <br />64 through the portion of the Property shown on the attached Exhibit A, <br />65 together with access thereto for stockpiling, stabilizing, and removal of the <br />66 material. This temporary easement shall commence immediately and shall <br />67 expire on August 1, 2021, at 11:59 p.m., or upon removal of the stockpile, <br />68 whichever occurs first. The foregoing easement shall be binding upon the <br />69 Developer, and its legal representatives, its successors and assigns, shall <br />70 inure to the benefit of the City, and its successors and assigns, and shall <br />71 run with the land until August 1, 2021, at 11:59 p.m. The Developer, for <br />72 itself and its legal representatives, successors and assigns, covenants with <br />73 the City, and its successors and assigns, that it is the owner of the Property <br />74 and has good right to grant and convey the easement herein to the City. <br />75 <br />76 3. Roseville Leased Housing Associates I, LLLP. The reference in the PIC <br />77 in Section III W to “Roseville Leased Housing I, LLLP” shall be changed <br />78 to “Roseville Leased Housing Associates I, LLLP”, which shall be the <br />79 definition for “Roseville I”. <br />80 <br />81 4. PIC in Full Force; Inconsistent Terms.Upon execution, this <br />82 Amendment shall become an integral and binding part of the PIC. Except <br />83 as amended or modified hereby, the PIC will remain in full force and <br />84 effect pursuant to its terms and will be deemed to cover the Plat.To the <br />85 extent the terms of the PIC and this Amendment are inconsistent, the <br />86 terms of this Amendment shall control. <br />87 <br />88 5. Run with the Land. The PIC, as amended by this Amendment, shall be <br />89 binding upon and inure to the benefit of the parties hereto, and their <br />90 successors and assigns, and shall run with the land. <br /> <br />
