Attachment A 45 b. The City will pay the Developer’s contractor directly for the material, 46 its transportation, and the stockpiling. No additional consideration 47 will be paid by the City to the Developer. 48 49 c. To confirm quantities, the City and the Developer’s contractor will 50 survey the site before and after the stockpile is made. 51 52 d. The Developer’s contractor will stabilize the stockpile at the 53 Developer’s cost. Once the stockpile is stabilized, the City will take 54 over ownership and maintenance of the stockpile. 55 56 e. The City shall remove the stockpile from the Property by August 1, 57 2021. The City shall be solely responsible for paying all costs to 58 remove the stockpile and restore the Property to reasonably the same 59 condition as before the stockpile was created. 60 61 2. Temporary Easement.The Developer hereby grants and conveys to the 62 City, and its successors and assigns, a temporary easement for stockpiling 63 of the clean fill material referenced above, on,over, under, across, and 64 through the portion of the Property shown on the attached Exhibit A, 65 together with access thereto for stockpiling, stabilizing, and removal of the 66 material. This temporary easement shall commence immediately and shall 67 expire on August 1, 2021, at 11:59 p.m., or upon removal of the stockpile, 68 whichever occurs first. The foregoing easement shall be binding upon the 69 Developer, and its legal representatives, its successors and assigns, shall 70 inure to the benefit of the City, and its successors and assigns, and shall 71 run with the land until August 1, 2021, at 11:59 p.m. The Developer, for 72 itself and its legal representatives, successors and assigns, covenants with 73 the City, and its successors and assigns, that it is the owner of the Property 74 and has good right to grant and convey the easement herein to the City. 75 76 3. Roseville Leased Housing Associates I, LLLP. The reference in the PIC 77 in Section III W to “Roseville Leased Housing I, LLLP” shall be changed 78 to “Roseville Leased Housing Associates I, LLLP”, which shall be the 79 definition for “Roseville I”. 80 81 4. PIC in Full Force; Inconsistent Terms.Upon execution, this 82 Amendment shall become an integral and binding part of the PIC. Except 83 as amended or modified hereby, the PIC will remain in full force and 84 effect pursuant to its terms and will be deemed to cover the Plat.To the 85 extent the terms of the PIC and this Amendment are inconsistent, the 86 terms of this Amendment shall control. 87 88 5. Run with the Land. The PIC, as amended by this Amendment, shall be 89 binding upon and inure to the benefit of the parties hereto, and their 90 successors and assigns, and shall run with the land.
