Attachment A <br />1 Standard Agreement for Professional Services <br />2 <br />th <br />3 This Agreement (“Agreement”) is made on the 10 day of October, 2022, between the <br />4 City of Roseville, a municipal corporation (hereinafter “City”), and Tokle Inspections <br />5 Incorporated, a corporation organized and existing under the laws of the State of Minnesota, <br />6 (hereinafter “Consultant”). <br />7 <br />8 Preliminary Statement <br />9 <br />10 The City has adopted a policy regarding the selection and retention of consultants to provide a <br />11 variety of professional services for City projects. That policy requires that persons, firms or <br />12 corporations providing such services enter into written agreements with the City. The purpose of <br />13 this Agreement is to set forth the terms and conditions for the performance of professional <br />14 services by the Consultant. <br />15 <br />16 The City and Consultant agree as follows: <br />17 <br />18 1. Scope of Work Proposal. The Consultant agrees to provide the professional services <br />19 described below (“Work”) in consideration for the compensation set forth in Provision 3 <br />20 below. The terms of this Agreement shall take precedence over and supersede any <br />21 provisions and/or conditions in any proposal submitted by the Consultant. <br />22 <br />23 a. Review electrical plans for sites and buildings; <br />24 b. Provide all required on-site electrical inspection services in relation to each <br />25 electrical permit; <br />26 c. Retain all pertinent records and copies of permits and correspondence related to <br />27 each permit and make them available to the City upon request; <br />28 d. Have open office hours each business day during which the property owners and <br />29 staff may work with the inspectors; <br />30 e. Coordinate work (as necessary) with inspection work of the City through the <br />31 Building Official; <br />32 f. Provide a monthly report summarizing permit activity; <br />33 <br />34 2. Term. The term of this Agreement shall be from January 1, 2023, through December 31, <br />35 2025, the date of signature by the parties notwithstanding. <br />36 <br />37 3. Compensation for Services. The City agrees to pay the Consultant the compensation <br />38 eighty percent (80%) of electrical permit fees as allowed in Section 314.05 of City Code, <br />39 attached for the Work, subject to the following: <br />40 <br />41 A. Any changes in the Work which may result in an increase to the compensation due <br />42 the Consultant shall require prior written approval of the City. The City will not pay <br />43 additional compensation for Work that does not have such prior written approval. <br />44 <br />45 B. Third party independent contractors and/or subcontractors may be retained by the <br />46 Consultant when required by the complex or specialized nature of the Work when <br />1 <br /> <br />
