Attachment A 1 Standard Agreement for Professional Services 2 th 3 This Agreement (“Agreement”) is made on the 10 day of October, 2022, between the 4 City of Roseville, a municipal corporation (hereinafter “City”), and Tokle Inspections 5 Incorporated, a corporation organized and existing under the laws of the State of Minnesota, 6 (hereinafter “Consultant”). 7 8 Preliminary Statement 9 10 The City has adopted a policy regarding the selection and retention of consultants to provide a 11 variety of professional services for City projects. That policy requires that persons, firms or 12 corporations providing such services enter into written agreements with the City. The purpose of 13 this Agreement is to set forth the terms and conditions for the performance of professional 14 services by the Consultant. 15 16 The City and Consultant agree as follows: 17 18 1. Scope of Work Proposal. The Consultant agrees to provide the professional services 19 described below (“Work”) in consideration for the compensation set forth in Provision 3 20 below. The terms of this Agreement shall take precedence over and supersede any 21 provisions and/or conditions in any proposal submitted by the Consultant. 22 23 a. Review electrical plans for sites and buildings; 24 b. Provide all required on-site electrical inspection services in relation to each 25 electrical permit; 26 c. Retain all pertinent records and copies of permits and correspondence related to 27 each permit and make them available to the City upon request; 28 d. Have open office hours each business day during which the property owners and 29 staff may work with the inspectors; 30 e. Coordinate work (as necessary) with inspection work of the City through the 31 Building Official; 32 f. Provide a monthly report summarizing permit activity; 33 34 2. Term. The term of this Agreement shall be from January 1, 2023, through December 31, 35 2025, the date of signature by the parties notwithstanding. 36 37 3. Compensation for Services. The City agrees to pay the Consultant the compensation 38 eighty percent (80%) of electrical permit fees as allowed in Section 314.05 of City Code, 39 attached for the Work, subject to the following: 40 41 A. Any changes in the Work which may result in an increase to the compensation due 42 the Consultant shall require prior written approval of the City. The City will not pay 43 additional compensation for Work that does not have such prior written approval. 44 45 B. Third party independent contractors and/or subcontractors may be retained by the 46 Consultant when required by the complex or specialized nature of the Work when 1
