<br />LocalGovernment.NootherunderstandingregardingthisAgreement,whetherwrittenororal,maybeused
<br />tobindeitherparty.
<br />8.5. Severability.IfanyprovisionofthisAgreement,ortheapplicationthereof,isfoundtobeinvalidor
<br />unenforceabletoanyextent,theremainderoftheAgreement,includingallmaterialprovisionsandthe
<br />applicationofsuchprovisions,willnotbeaffectedandwillbeenforceabletothegreatestextentpermitted
<br />bythelaw.
<br />8.6. ElectronicRecordsandSignatures.Thepartiesagreetocontractbyelectronicmeans.Thisincludesusing
<br />electronicsignaturesandconvertingoriginaldocumentstoelectronicrecords.
<br />8.7. Certification.BysigningthisAgreement,theLocalGovernmentcertifiesthatitisnotsuspendedor
<br />debarredfromreceivingfederalorstateawards.
<br />9. LiabilityandClaims
<br />9.1. TortLiability.Eachpartyisresponsibleforitsownactsandomissionsandtheresultsthereoftotheextent
<br />authorizedbylawandwillnotberesponsiblefortheactsandomissionsofanyothersandtheresults
<br />thereof.TheMinnesotaTortClaimsAct,MinnesotaStatutesSection3.736,governsMnDOTliability.
<br />9.2. Claims.TheLocalGovernmentacknowledgesthatMnDOTisactingonlyastheLocalDƚǝĻƩƓƒĻƓƷƭagent
<br />foracceptanceanddisbursementoffederalfunds,andnotasaprincipalorcoprincipalwithrespecttothe
<br />Project.TheLocalGovernmentwillpayanyandalllawfulclaimsarisingoutoforincidentaltotheProject
<br />including,withoutlimitation,claimsrelatedtocontractorselection(includingthesolicitation,evaluation,
<br />andacceptanceorrejectionofbidsorproposals),actsoromissionsinperformingtheProjectwork,andany
<br />ǒƌƷƩğǝźƩĻƭ acts.Totheextentpermittedbylaw,theLocalGovernmentwillindemnify,defend(tothe
<br />extentpermittedbytheMinnesotaAttorneyGeneral),andholdMnDOTharmlessfromanyclaimsorcosts
<br />e
<br />arisingoutoforincidentaltotheProject(s),includingreasonableattorneyfeesincurredbyMnDOT.Th
<br />LocalDƚǝĻƩƓƒĻƓƷƭindemnificationobligationextendstoanyactionsrelatedtothecertificationofDBE
<br />participation,evenifsuchactionsarerecommendedbyMnDOT.
<br />10. Audits
<br />10.1. UnderMinn.Stat.§16C.05,Subd.5,thebooks,records,documents,andaccountingproceduresand
<br />practicesoftheLocalGovernment,oranyotherpartyrelevanttothisAgreementortransaction,aresubject
<br />toexaminationbyMnDOTand/ortheStateAuditororLegislativeAuditor,asappropriate,foraminimumof
<br />sixyearsfromtheendofthisAgreement,receiptandapprovalofallfinalreports,ortherequiredperiodof
<br />timetosatisfyallstateandprogramretentionrequirements,whicheverislater.TheLocalGovernmentwill
<br />taketimelyandappropriateactiononalldeficienciesidentifiedbyanaudit.
<br />10.2. Allrequestsforreimbursementaresubjecttoaudit,ataƓ5hƭdiscretion.Thecostprinciplesoutlinedin2
<br />CFR200.400.476willbeusedtodeterminewhethercostsareeligibleforreimbursementunderthis
<br />Agreement.
<br />10.3. IfLocalGovernmentexpends$750,000ormoreinFederalFundsduringtheLocalDƚǝĻƩƓƒĻƓƷƭfiscalyear,
<br />theLocalGovernmentmusthaveasingleauditorprogramspecificauditconductedinaccordancewith2
<br />CFRPart200.
<br />11. GovernmentDataPractices.TheLocalGovernmentandMnDOTmustcomplywiththeMinnesotaGovernment
<br />at.Ch.13,asitappliestoalldataprovidedbyMnDOTunderthisAgreement,andasit
<br />DataPracticesAct,Minn.St
<br />appliestoalldatacreated,collected,received,stored,used,maintained,ordisseminatedbytheLocal
<br />GovernmentunderthisAgreement.ThecivilremediesofMinn.Stat.§13.08applytothereleaseofthedata
<br />referredtointhisclausebyeithertheLocalGovernmentorMnDOT.
<br />12. WorkersCompensation.TheLocalGovernmentcertifiesthatitisincompliancewithMinn.Stat.§176.181,Subd.
<br />2,pertainingtoǞƚƩƉĻƩƭcompensationinsurancecoverage.TheLocalDƚǝĻƩƓƒĻƓƷƭemployeesandagentswill
