Negotiate specific work elements with the preferred Respondent into a contract of lesser or greater expense than described in this RFP or the Respondent's reply. 4.6 Respondents May Team with Other Companies It is recognized that some prospective Respondents may wish to subcontract with other companies for processing services. This may be allowed, as needed, but all such Contractor - Subcontractor relationships must be explicitly described in each proposal scenario. The City will contract with only one primary Contractor for the recycling services. The City expects to have one designated point of contact with the selected Contractor. Multiple Respondents may team up with other complementary hauling or recycling companies, provided there is no collusion. A company may be listed as a part of more than one team as long as this company submits a written certification that no collusion occurred between competing proposals. 4.7 RFP and Proposal to Become Part of Final Contract The contents of this RFP, the successful proposal, and any written clarifications or modifications to the contents thereof submitted by the successful Respondent and approved by the City in writing shall become part of the contractual obligations and be incorporated by reference into the ensuing Contract. If any provision of the contract RFP or proposal is in conflict, the Contract takes precedence. 4.8 Requests that Selected Information be Held Confidential It is the intention to maintain an open and public process in the solicitation, submission, review, and approval of City procurement activities. Proposal records will not be released or available for public inspection prior to the award and full execution of the final Contract. After execution of the final Contract, proposals submitted in conjunction with this RFP may become public record and consequently, open for public inspection. If there are confidential or proprietary sections of proposals which a Respondent requests be exempted from this requirement, Respondent(s) must submit a cover letter and seal these proposal sections in a separate envelope and segment these sections as a separate electronic file. Only items specifically referenced within cover letter will be considered as potentially confidential. If such a cover letter is not included with your proposal, it will be assumed nothing is requested to be confidential. Notification of the City's determination on such requests will be made prior to release of any of the information in the proposal. Proposal sections cannot be kept confidential unless it is trade secret information. Trade secret information is defined in Minnesota Statutes § 13.37 General Nonpublic Data as: (b) "Trade secret information" means government data, including a formula, pattern, compilation, program, device, method, technique or process (1) that was supplied by the affected individual or organization, (2) that is the subject of efforts by the RFP for City of Roseville Recycling Services . 10 Page 135 of 348
