RECIPROCAL ROADWAY EASEMENT <br />AND <br />MAINTENANCE AGREEMENT <br />THIS INDENTURE made this I� day of December, 1984, by <br />and between Weis Development Corporation, a Minnesota corporation <br />(hereinafter called "Weis"), and Tanurb Developments Inc., a <br />corporation under the laws of. Ontario, Canada (hereinafter called <br />"Tanurb"). <br />W I T N E S S E T H: <br />WHEREAS, Weis is the assignee of an agreement to purchase <br />certain property located in Ramsey County as described on <br />Exhibit A (hereinafter called "Weis Property" and sometimes <br />referred to as the "Property") and Tanurb has an option to acquire <br />certain property located in Ramsey County which is adjacent <br />to the Weis Property, which property is more fully described <br />on Exhibit B (hereinafter the "Tanurb Property" and sometimes <br />referred to as the "Property"); and <br />WHEREAS, Tanurb dnd- Weis desire to enter into an agreement <br />providing for the construction and maintenance of a roadway <br />over premises owned or to be owned by both parties. To permit <br />the construction of said roadway, it is necessary that the parties <br />enter into a reciprocal and non-exclusive roadway easement over <br />those portions of the Weis Property and Tanurb Property described <br />on Exhibit C (hereinafter the "Easement Area"); and <br />WHEREAS; Weis and Tanurb recognize that the contemplated <br />and futuAe development of the Weis Property and Tanurb Property <br />will require the construction of a road over the Easement Area <br />and the maintenance of the road; <br />NOW, THEREFORE, in consideration of the mutual convenants <br />and conditions hereinafter set forth, the parties hereto agree <br />as follows: <br />1. Grant of Easement <br />Weis hereby grants, bargains and conveys to Tanurb over <br />that portion of the Easement Area owned by Weis and Tanurb hereby <br />grants, bargains and conveys to Weis, subject to Tanurb's acquir- <br />ing fee title to the Tanurb Property, over that portion of the <br />Easement Area owned by Tanurb a mutual, reciprocal and non- <br />exclusive easement for roadway purposes. The benefits and obliga- <br />tions of the easements granted herein shall be perpetual, shall <br />annex to and run with the land, and shall be binding upon and <br />inure to.the benefit of the parties, their successors and assigns. <br />
