<br />Welsh when levied. Welsh shall be solely responsible for obtaining
<br />all necessary permits and approvals in order to accomplish such
<br />filling and relocation. Prior to starting any such filling or
<br />relocation, Welsh shall obtain for the benefit and use of Equitable
<br />and the Equitable Parcel perpetual, non-exclusive rights,
<br />privileges, easements and approvals from all necessary persons and
<br />governmental bodies, including, but not limited to, the applicable
<br />watershed district, Roseville and Ramsey County, to use the new,
<br />relocated retention pond. The retention pond and all assoc,aLed
<br />storm sewer lines, pipes and surface water which are currently
<br />located on or drain into the Equitable Parcel will be re-routed to
<br />the new relocated retention pond by Welsh without cost to
<br />Equitable. All permits and approvals to be obtained hereunder by
<br />Welsh, and all engineering plans and specifxk:ations for filling the
<br />Equitable Parcel and rerouting said storm sewer lines and surface
<br />water shall be delivered to Equitable for its written approval prior
<br />to commencement of any such rerouting or filling of the Equitable
<br />Parcel, together with evidence reasonably satisfactory to Equitable
<br />that such permits and approvals, and such plans and specifications,
<br />have been reviewed and approved by all necessary persons and
<br />governmental bodies, including, but not limited to, said watershed

<br />Parcel and relocating the retention pond shall be done in compliance
<br />with the approved permits, approvals, plans and specifications.
<br />b. F.i l ling of Eau9ble Pa rj, . Welsh shall at i is own
<br />expense fill and grade the Equitable Parcel to provide for an
<br />approximate even grade with the Welsh Parcel. The Equitable Parcel,
<br />after it is filled, shall have a minimum bearing capacity of 3,000
<br />pounds per square foot, standard proctor compaction
<br />and a minimum subgrade modulus of 100 PCI earth stablizer. All
<br />material shall be nonexpansive with a plasticity index of 12 or less
<br />and shall have sufficient cohesion to stand vertically for 3 feet.
<br />No oversize material or lumps greater than 6 inches in diameter will
<br />be allowed and no more than 15% of the material shall be greater
<br />than 2-1/2 inches in diamoter. The Equitable Parcel must be sloped
<br />to drain so that all surface water �s drained from tho Equitable
