other law, ordinance or regulation) affecting the Project <br />and the Development Plans and the Developer Improvements. <br />e. NO LITIGATION. There is no suit, action, arbitration o <br />legal, administrative or other proceeding or governmental <br />investigation pending or threatened against or affecting <br />Developer or the Project or the Development Plans or the <br />Developer Improvements. Developer is not in default with <br />respect to any order, writ, injunction or decree of any <br />federal, state, local or foreign court, department, <br />agency or instrumentality. <br />f. FULL DISCLOSURE. None of the representatives and <br />warranties made by Developer in this Agreement or made in <br />any Exhibit hereto or memorandum or writing furnished or <br />to be furnished by Developer or on its behalf, contains <br />or will contain any untrue statement of material fact or <br />omit any material fact the omission of which would be <br />misleading. <br />g. PLAT COMPLIANCE. The Plat and the Development Plans <br />comply with all City, County, metropolitan, state and <br />federal laws and regulations, including but not limited <br />to subdivision ordinances, zoning ordinances and <br />environmental regulations. <br />h. NO METROPOLITAN SIGNIFICANCE. To the best of Developer's <br />knowledge~ after diligent investigation, the Developer <br />represents that the construction of the Developer <br />Improvements or City Improvements described herein or the <br />affects of such construction are not matters of <br />"metropolitan significance" as that term is defined in <br />Minn. Stat. Ch. 473 and that an environment assessment <br />worksheet and an environmental impact statement are not <br />required under City, state or federal law. If the City <br />or another governmental entity or agency determines that <br />such a review is needed, however, the Developer shall <br />prepare it in c-)mpl+.ance with the legal requirement so <br />issued by the appropriate agency. The Developer shall <br />reimburse the City for all expenses, including staff time <br />and attorneys' fees, that the City incurs in assisting in <br />the preparation of the review. <br />i. PRESENT COMPLIANCE WITH LAWS. Developer has complied <br />with and is not in violation of applicable federal, state <br />or local statutes, laws, and regulations (.including, <br />Without limitation, permits and licenses and any <br />applicable zoning, environmental or other law, ordinance <br />or regulation) affecting the Project and the Development <br />Plans and the Developer Improvements; and Developer is <br />no► aware of any pending or threatened claim of any such <br />violation. <br />13 <br />
