j. OBTAINING PERMITS. The Developer shall obtain in a timely manner and pay for all required permits, licenses and approvals, and shall meet, in a timely manner, all requirements of all applicable, .local, state and federal laws and regulations which must be obtained or met before the Developer Improvements may be lawfully constructed. k. FEE TITLE. Developer owns fee title to the Project subject only to ARTICLE 11 CITY WARRANTIES 11.1 STATEMENT OF CITY WARRANTIES. The City hereby warrants and represents that the City is a municipal corporation duly incorporated and validly existing in good standing the laws of the State of Minnesota. City has the right, power, legal capacity and authority to enter into and perform its obligations under this Development Contract. ARTICLE 12. INDEMNIFICATION OF CITY 12.1 RELEASE AND INDEMNIFICATION OF CITY. The Developer hereby releases the City of Roseville, the Council, and all agents, employees, attorneys and representatives of the City (for purposes (_)f: this Section 12.1 the "City") from any and all claims of the Developer; agrees to hold the City harmless from and to indemnify and defend the City against third party claims and causes of action; and agrees to reimburse the City for all costs (including interest, penalties and attorney's fees) that the City incurs or suffers in connection with or that arise out of, result frow or relate to: a. Breach by the Developer of the Developer Warranties; b. Failure of the Developer to timely construct the Developer Improvements according to the Development Plans the City Code, and City standards and specifications; C. Failure by the Developer to observe or perform any covenant, conditions, obligation or agreement on its part to be observed or performed under this Development Contract; d. Failure by the Developer to pay contractors, subcontractors, laborers, or materialmen; e. Failure by the Developer to pay for materials; f. Approval by the City of the Plat; 14
