j. OBTAINING PERMITS. The Developer shall obtain in a <br />timely manner and pay for all required permits, licenses <br />and approvals, and shall meet, in a timely manner, all <br />requirements of all applicable, .local, state and federal <br />laws and regulations which must be obtained or met before <br />the Developer Improvements may be lawfully constructed. <br />k. FEE TITLE. Developer owns fee title to the Project <br />subject only to <br />ARTICLE 11 <br />CITY WARRANTIES <br />11.1 STATEMENT OF CITY WARRANTIES. The City hereby warrants <br />and represents that the City is a municipal corporation duly <br />incorporated and validly existing in good standing the laws of the <br />State of Minnesota. City has the right, power, legal capacity and <br />authority to enter into and perform its obligations under this <br />Development Contract. <br />ARTICLE 12. <br />INDEMNIFICATION OF CITY <br />12.1 RELEASE AND INDEMNIFICATION OF CITY. The Developer <br />hereby releases the City of Roseville, the Council, and all agents, <br />employees, attorneys and representatives of the City (for purposes <br />(_)f: this Section 12.1 the "City") from any and all claims of the <br />Developer; agrees to hold the City harmless from and to indemnify <br />and defend the City against third party claims and causes of <br />action; and agrees to reimburse the City for all costs (including <br />interest, penalties and attorney's fees) that the City incurs or <br />suffers in connection with or that arise out of, result frow or <br />relate to: <br />a. Breach by the Developer of the Developer Warranties; <br />b. Failure of the Developer to timely construct the <br />Developer Improvements according to the Development Plans <br />the City Code, and City standards and specifications; <br />C. Failure by the Developer to observe or perform any <br />covenant, conditions, obligation or agreement on its part <br />to be observed or performed under this Development <br />Contract; <br />d. Failure by the Developer to pay contractors, <br />subcontractors, laborers, or materialmen; <br />e. Failure by the Developer to pay for materials; <br />f.
